Series B Trust definition

Series B Trust means any trust provided for in Section 8(c) below.
Series B Trust means any trust provided for in Section 10(d).
Series B Trust means the trust created pursuant to subparagraph (k)(1) of Section 9.

Examples of Series B Trust in a sentence

  • In no other circumstances shall a holder of Class B Common Stock have any right or interest of any kind in or to the Series B Trust Fund.

  • A recordholder of Common Stock shall have no right or interest of any kind in or to the Series B Trust Fund.

  • A recordholder of Class B Common Stock shall be entitled to receive distributions from the Series B Trust Fund only upon distribution of the Series B Trust Fund in accordance with paragraph C, above, or in the event he demands conversion of his shares in accordance with paragraph B(i), above.

  • If so demanded, the Corporation shall, promptly after consummation of the Business Combination, convert such shares into cash at a per share conversion price equal to the quotient determined by dividing (i) the amount in the Series B Trust Fund, inclusive of any interest thereon, calculated as of two business days prior to the date of the consummation of the Business Combination, by (ii) the total number of shares of Class B Common Stock then outstanding.

  • By written notice to the Series B Trustee, the Corporation shall designate one or more nonprofit organizations to be the Series B Charitable Beneficiary of the interest in the Series B Trust such that the shares of Series B Preferred Stock held in the Series B Trust would not violate the restrictions set forth in Section 8(b)(i) in the hands of such Series B Charitable Beneficiary.

  • The Corporation shall have the right to accept such offer until the Series B Trustee has sold the shares held in the Series B Trust pursuant to Section 8(c)(iv).

  • Notwithstanding the provisions of this Section 8, until the Corporation has received notification that shares of Series B Preferred Stock have been transferred into a Series B Trust, the Corporation shall be entitled to rely on its share transfer and other stockholder records for purposes of preparing lists of stockholders entitled to vote at meetings, determining the validity and authority of proxies and otherwise conducting votes of stockholders.

  • The Series B Prohibited Owner shall not benefit economically from ownership of any shares held in trust by the Series B Trustee, shall have no rights to dividends or other distributions and shall not possess any rights to vote or other rights attributable to the shares held in the Series B Trust.

  • Such transfer to the Series B Trustee shall be deemed to be effective as of the close of business on the Business Day prior to the purported Transfer or other event that results in the transfer to the Series B Trust pursuant to Section 8(b)(ii).

  • The Series B Trustee shall have all voting rights and rights to dividends or other distributions with respect to shares of Series B Preferred Stock held in the Series B Trust, which rights shall be exercised for the exclusive benefit of the Series B Charitable Beneficiary.

  • Class A Pass Through Trust means the Delta Air Lines Pass Through Trust 2019-1A created pursuant to the Basic Pass Through Trust Agreement, as supplemented by Trust Supplement No. 2019-1A, dated as of the Issuance Date, between Company and U.S. Bank, as Class A Trustee.

  • Series C or "Series C Equipment Notes" means Equipment Notes issued and designated as "Series C" hereunder, in the Principal Amount and maturities and bearing interest as specified in Section 2.02 and Schedule I hereto under the heading "Series C."

  • Pass Through Trust means each of the two separate grantor trusts that have been created pursuant to the Pass Through Trust Agreements to facilitate certain of the transactions contemplated by the Operative Documents.

  • Series C Equipment Notes means Equipment Notes issued under an Indenture and designated as "Series C" thereunder.

  • Series C Notes is defined in Section 1.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Series D Notes is defined in Section 1.

  • Series B Equipment Notes means Equipment Notes issued and designated as “Series B Equipment Notes” under the Indenture, in the original principal amount and maturities as specified in Schedule I to the Indenture under the heading “Series B Equipment Notes” and bearing interest at the Debt Rate for Series B Equipment Notes specified in Schedule I to the Indenture.

  • Preferred Stock Purchase Agreement means the Preferred Stock Purchase Agreement, dated September 7, 2008, between the Company and the United States Department of the Treasury.

  • Series A Debentures means the 8.675% Series A Junior Subordinated Deferrable Interest Debentures due February 1, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Preferred Interests means, with respect to any Person, Equity Interests issued by such Person that are entitled to a preference or priority over any other Equity Interests issued by such Person upon any distribution of such Person’s property and assets, whether by dividend or upon liquidation.

  • Related Pass Through Trust Agreement Means the Basic Agreement as supplemented by the Trust Supplement No. 2000-2B-S dated the date hereof relating to the Continental Airlines Pass Through Trust 2000-2B-S and entered into by the Company and the Trustee, which agreement becomes effective upon the execution and delivery of the Assignment and Assumption Agreement pursuant to Section 7.01 of this Trust Supplement.

  • Series A Securities means the Company's 10.01% Series A Junior Subordinated Deferrable Interest Debentures due March 15, 2027, as authenticated and issued under this Indenture.
