  • If either Landlord or Tenant fails to timely designate the Second Representative and again fails to do so within three (3) business days after notice of such failure from the other party, the resolution of such dispute by the First Representative shall be conclusive for purposes hereof.

  • Notwithstanding the foregoing, neither the Seller Representatives nor the Second Representative shall be entitled to settle, either administratively or after the commencement of litigation, any claim for income, sales, use or value added Taxes which would materially adversely affect the liability for income, sales, use or value added Taxes of Buyer for any period (or portion thereof) beginning after the Closing Date without the prior written consent of Buyer.

  • Such appointment shall be valid until such time as the Purchaser has received prior written notice from the Seller that such First Representative and/or Second Representative has ceased to act as agent and irrevocably appointing another agent in England for service of process and providing the name and address in England of the new agent(s).

  • In the event of such termination, Company is not precluded from retaining the services of Second Representative, if any.
