Requisite DIP Term Lenders definition

Requisite DIP Term Lenders means, (x) prior to the syndication of the DIP Term Loans pursuant to the Syndication Procedures (the “Syndication”), at least two (2) unaffiliated DIP Term Lenders holding at least 50.1% of the outstanding commitments and/or exposure under the DIP Term Facility and (y) after the Syndication, DIP Term Lenders holding at least 50.1% of the outstanding commitments and/or exposure under the DIP Term Facility.

  • Except as expressly provided for in the DIP Documents, the Debtors shall not sell, transfer, lease, encumber, or otherwise dispose of any portion of the DIP Collateral, other than in the ordinary course of business, without the prior written consent of the DIP Lenders (or Required Revolving Lenders or Requisite DIP Term Lenders, as the applicable DIP Documents may provide).

  • To the extent not entered into as of the date hereof, the Debtors shall negotiate the DIP Documents in good faith and in all respects such DIP Documents shall be consistent with the terms of the DIP Term Sheet and otherwise acceptable to the Debtors and each DIP Agent (and in the case of the DIP Term Facility Agent, the Requisite DIP Term Lenders (as defined herein)).

  • Tranche B Term Loan Lender each Lender that has a Tranche B Term Loan Commitment or is the holder of a Tranche B Term Loan.

  • Initial Term Loan Lender means a Lender with an Initial Term Loan Commitment or an outstanding Initial Term Loan.

  • Incremental Term Lenders (a) on any Increased Facility Activation Date relating to Incremental Term Loans, the Lenders signatory to the relevant Increased Facility Activation Notice and (b) thereafter, each Lender that is a holder of an Incremental Term Loan.

  • Requisite Revolving Lenders means Lenders having (a) more than 50% of the Revolving Loan Commitments of all Lenders, or (b) if the Revolving Loan Commitments have been terminated, more than 50% of the aggregate outstanding amount of the Revolving Loan.

  • New Term Loan Lender shall have the meaning provided in Section 2.14(c).

  • Tranche B Term Loans means Loans made or deemed made by the Tranche B Term Lenders pursuant to Section 2.01(b) or pursuant to Section 1 of the First Amendment to 2009 Credit Agreement.

  • Additional Term Lender means any Lender with an Additional Term Loan Commitment or an outstanding Additional Term Loan.

  • Tranche B Term Loan Commitments means such commitments of all Lenders in the aggregate. The amount of each Lender’s Tranche B Term Loan Commitment, if any, is set forth on Appendix A-2 or in the applicable Assignment Agreement, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the Tranche B Term Loan Commitments as of the Third Restatement Date is $600,000,000.

  • Tranche A Term Loans means Loans made by the Tranche A Term Lenders pursuant to Section 2.01(a).

  • Tranche B Term Loan as defined in Section 2.1.

  • Extended Term Loans has the meaning specified in Section 2.15(a).

  • Supermajority Revolving Lenders means Lenders having (a) 80% or more of the Revolving Loan Commitments of all Lenders, or (b) if the Revolving Loan Commitments have been terminated, 80% or more of the aggregate outstanding amount of the Revolving Loan (with the Swing Line Loan being attributed to the Lender making such Loan) and Letter of Credit Obligations.

  • Delayed Draw Term Loan Lender means a Lender with a Delayed Draw Term Loan Commitment or an outstanding Delayed Draw Term Loan.

  • Refinancing Term Lender has the meaning specified in Section 2.15(c).

  • Tranche A Term Loan Commitment means the commitment of a Lender to make a Tranche A Term Loan to Company pursuant to subsection 2.1A(i), and "Tranche A Term Loan Commitments" means such commitments of all Lenders in the aggregate.
