Required Transfer Amount One definition

Required Transfer Amount One means the amount calculated in accordance with the assumptions, principles and adjustments (but excluding any timing adjustment in respect of the period after the Commencement Date) contained in the Supplier’s Actuary’s Letter One as representing the amount required to fund the Pension Service Credit for each Transferring Pensionable Customer Employee who takes up Transfer Option One. [Guidance Note: use of this term subject to project-specific review] Required Transfer Amount Two means the amount calculated in accordance with the assumptions, principles and adjustments (but excluding any timing adjustment in respect of the period after the Commencement Date) contained in the Supplier’s Actuary’s Letter Two as representing the amount required to fund the Pension Service Credit for each Second Generation Fair Deal Employee who takes up Transfer Option Two. [Guidance Note: use of this term subject to project-specific review] Supplier’s Actuary means an Actuary employed by [*** insert name of firm ***] who is advising the Supplier in relation to the pensions aspects of the Contract.
Required Transfer Amount One the amount calculated in accordance with the assumptions, principles and adjustments (but excluding any timing adjustment in respect of the period after the Transfer Date) contained in the Supplier’s Actuary’s Letter One as representing the amount required to fund the Pension Service Credit for each Transferring Pensionable Customer Employee who takes up Transfer Option One;

Examples of Required Transfer Amount One in a sentence

  • The Customer shall procure that, within four (4) weeks of having been notified of the Required Transfer Amount One, the [*** PCSPS Actuary ***] verifies such calculation or sets out in writing to the Supplier’s Actuary his reasons for not verifying such calculation.

  • The Supplier shall procure that the [*** PCSPS Actuary ***] is notified of Required Transfer Amount One, and any appropriate underlying methodology, within three (3) months of the Transfer Option Deadline.

  • The Customer shall procure that, within four (4) weeks of having been notified of Required Transfer Amount One, the [*** PCSPS Actuary ***] verifies such calculation or sets out in writing to the Supplier’s Actuary his reasons for not verifying such calculation.

  • The Supplier shall procure that the Supplier’s Actuary calculates Required Transfer Amount One within three (3) months of the Transfer Option Deadline.

  • This paragraph 7.5 applies where the [*** PCSPS Actuary ***] sets out in writing his reasons for not verifying the calculation of Required Transfer Amount One in accordance with paragraph 7.4 above.

  • Where this paragraph 7.5 applies, the Customer and the Supplier, as appropriate, shall use all reasonable endeavours to procure that the [*** PCSPS Actuary ***] and the Supplier’s Actuary work together to agree Required Transfer Amount One within a period agreed to be reasonable by the [*** PCSPS Actuary ***] and the Supplier’s Actuary.

  • If the [*** PCSPS Actuary ***] and the Supplier’s Actuary fail to agree Required Transfer Amount One in accordance with paragraph 7.5 above, paragraph 15 of this schedule shall apply.

  • The Supplier shall procure that the Supplier’s Actuary calculates the Required Transfer Amount One within three (3) Months of the Transfer Option Deadline.

  • If the [*** PCSPS Actuary ***] and the Supplier’s Actuary fail to agree the Required Transfer Amount One in accordance with paragraph 115.5 of this Annex 1, paragraph 15 of this Annex 1 shall apply.

  • Where this paragraph 7.5 applies, the Customer and the Supplier, as appropriate, shall use all reasonable endeavours to procure that the [*** PCSPS Actuary ***] and the Supplier’s Actuary work together to agree the Required Transfer Amount One within a period agreed to be reasonable by the [*** PCSPS Actuary ***] and the Supplier’s Actuary.

Related to Required Transfer Amount One

  • Transfer Amount means, as of any Transfer Date, any of the Issuer Expenses Transfer Amount, the Taxation Expenses Transfer Amount, the Servicer Fee Transfer Amount, the Reserve LC Expenses Transfer Amount, any Debt Service Reserve Account Transfer Amount, any Series Senior Interest Transfer Amount for any Series of Securities, any Series Senior Scheduled Principal Transfer Amount for any Series of Securities, any Series Senior Excess Scheduled Principal Transfer Amount for any Series of Securities, any Series Senior Accelerated Principal Transfer Amount for any Series of Securities, any Series Senior Excess Accelerated Principal Transfer amount for any Series of Securities, any Series Subordinated Interest Transfer Amount for any Series of Securities, any Series Subordinated Scheduled Principal Transfer Amount for any Series of Securities, and/or any Series Subordinated Accelerated Principal Transfer Amount for any Series of Securities, each as of such Transfer Date.

  • Minimum Transfer Amount means, with respect to a party, the amount specified as such for that party in Paragraph 13; if no amount is specified, zero.

  • Series Required Transferor Amount means an amount equal to 7% of the Invested Amount.

  • Principal Transfer Amount For any Distribution Date and any Undercollateralized Group, the excess, if any, of the aggregate Class Principal Balance of the Class A Certificates related to such Undercollateralized Group over the aggregate Stated Principal Balance of the Mortgage Loans in such Group.

  • Interest Transfer Amount For any Distribution Date and for any Undercollateralized Group, an amount equal to one month's interest on the applicable Principal Transfer Amount at the weighted average Certificate Interest Rate of the applicable Undercollateralized Group, plus any interest accrued on such Undercollateralized Group remaining unpaid from prior Distribution Dates.

  • Total Transfer Amount For any Distribution Date and for any Undercollateralized Group, an amount equal to the sum of the Interest Transfer Amount and the Principal Transfer Amount for such Undercollateralized Group.

  • Forced Conversion Amount means the sum of (a) 100% of the aggregate Stated Value then outstanding, (b) accrued but unpaid dividends and (c) all liquidated damages and other amounts due in respect of the Preferred Stock.

  • Regular Principal Distribution Amount means, with respect to any Payment Date, an amount equal to (a) the excess, if any, of (i) the Note Balance as of such Payment Date (before giving effect to any principal payments made on the Notes on such Payment Date), over (ii) the excess, if any, of the Adjusted Pool Balance as of the end of the related Collection Period less the Overcollateralization Target Amount minus (b) the sum of the First Priority Principal Distribution Amount and the Second Priority Principal Distribution Amount for such Payment Date.

  • Basic Principal Distribution Amount With respect to any Distribution Date, the excess of (i) the Principal Remittance Amount for such Distribution Date over (ii) the Excess Subordinated Amount, if any, for such Distribution Date.

  • Relevant Transfer Date means, in relation to a Relevant Transfer, the date upon which the Relevant Transfer takes place;

  • Subsequent Transfer Date With respect to each Subsequent Transfer Instrument, the date on which the related Subsequent Mortgage Loans are sold to the Trust Fund.

  • Extra Principal Distribution Amount As of any Distribution Date, the lesser of (x) the related Total Monthly Excess Spread for such Distribution Date and (y) the related Subordination Deficiency for such Distribution Date.

  • Group 2 Senior Principal Distribution Amount For any Distribution Date, an amount equal to the sum of (a) the Group 2 Senior Percentage of the Principal Payment Amount for Loan Group 2, (b) the Group 2 Senior Prepayment Percentage of the Principal Prepayment Amount for Loan Group 2 and (c) the Group 2 Senior Liquidation Amount.

  • Group 1 Principal Distribution Amount With respect to any Distribution Date is the sum of (i) the Group 1 Basic Principal Distribution Amount for such Distribution Date and (ii) the product of (a) the Overcollateralization Increase Amount for such Distribution Date and (b) the Group 1 Percentage.

  • Monthly Principal Reallocation Amount means, for any Monthly Period, an amount equal to the sum of:

  • Group II Senior Principal Distribution Amount As to any Distribution Date, the sum of (i) the Group II Senior Percentage of the Principal Payment Amount for Loan Group II, (ii) the applicable Senior Prepayment Percentage of the Principal Prepayment Amount for Loan Group II, and (iii) the Group II Senior Liquidation Amount.

  • Senior Principal Distribution Amount As to any Distribution Date, the sum of (i) the Senior Percentage of all amounts described in subclauses (a) through (d) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, (ii) with respect to any Mortgage Loan that became a Liquidated Mortgage Loan during the calendar month preceding the month of such Distribution Date, the lesser of (x) the Senior Percentage of the applicable Non-PO Percentage of the Stated Principal Balance of such Mortgage Loan and (y) either (A) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amount of the Liquidation Proceeds allocable to principal received on the Mortgage Loan or (B), if an Excess Loss was sustained with respect to such Liquidated Mortgage Loan during such preceding calendar month, the Senior Percentage of the amount of the Liquidation Proceeds allocable to principal received with respect to such Mortgage Loan, and (iii) the sum of (x) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amounts described in subclause (f) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, and (y) the Senior Prepayment Percentage of any Subsequent Recoveries described in clause (ii) of the definition of Non-PO Formula Principal Amount for such Distribution Date; provided, however, that if a Bankruptcy Loss that is an Excess Loss is sustained with respect to a Mortgage Loan that is not a Liquidated Mortgage Loan, the Senior Principal Distribution Amount will be reduced on the related Distribution Date by the Senior Percentage of the applicable Non-PO Percentage of the principal portion of such Bankruptcy Loss.

  • True-Up Amount means the difference between the ABO calculated by using the member’s actual creditable service and the actual final average compensation as of the member’s effective date in the FRS Investment Plan and the ABO initially transferred.
