Required Effectiveness Period definition

Required Effectiveness Period means a period of [TWO] years after the Resale Registration Statement first affords an Available Registration (such period to be extended for an additional number of Business Days equal to the number of Business Days during such period on which the right of any applicable Holder to sell Shares was suspended pursuant to Section 3(c) hereof); provided, however, that the Company may, in its sole discretion, terminate the Required Effectiveness Period prior to the end of the period set forth in the first clause of this paragraph if, at any time after the first anniversary of the date on which the Resale Registration Statement becomes effective, each Holder of the Shares with respect to which the Resale Registration Statement has been filed would be permitted, under Rule 144 promulgated under the Securities Act, to sell all of such Holder's Shares during any three month period.
Required Effectiveness Period. As defined in Section 2(a)(ii) hereof. Rule 144: Rule 144 promulgated by the SEC pursuant to the Securities Act, as such rule may be amended from time to time, or any similar rule or regulation hereafter adopted by the SEC as a replacement thereto having substantially the same effect as such rule.
Required Effectiveness Period for each Purchaser shall mean the period commencing on the date the Shelf Registration Statement becomes effective and ending on the earliest of (a) the date all Registrable Securities have been sold by such Purchaser, (b) the date all Registrable Securities becomes eligible for resale by such Purchaser without restriction and without volume limitations or the need for current public information pursuant to any section of Rule 144 under the Securities Act (or any similar rule then in effect), and (c) the second anniversary of the Closing Date.

  • Except as contemplated by the Registration Rights Agreement between the Company and the investors party thereto, dated on or around July 8, 2005, neither the Company nor any of its security holders (other than the Holders in such capacity pursuant hereto) may include securities of the Company in a Registration Statement other than the Registrable Securities, and the Company shall not during the Required Effectiveness Period enter into any agreement providing any such right to any of it security holders.

  • Additional Effectiveness Deadline means the date which is the earlier of (x) (i) in the event that the Additional Registration Statement is not subject to a full review by the SEC, thirty (30) calendar days after the earlier of the Additional Filing Date and the Additional Filing Deadline or (ii) in the event that the Additional Registration Statement is subject to a full review by the SEC, fifty (50) calendar days after the earlier of the Additional Filing Date and the Additional Filing Deadline and (y) the fifth (5th) Business Day after the date the Company is notified (orally or in writing, whichever is earlier) by the SEC that such Additional Registration Statement will not be reviewed or will not be subject to further review; provided, however, that if the Additional Effectiveness Deadline falls on a Saturday, Sunday or other day that the SEC is closed for business, the Additional Effectiveness Deadline shall be extended to the next Business Day on which the SEC is open for business.
