Relocations applied by the Borrower or any of its “Restricted Subsidiariesafter the Closing Date to repay any term “Indebtedness” under any “Credit Facility” or to repay any revolving credit “Indebtedness” under any “Credit Facility” and effect a corresponding commitment reduction under a “Credit Facility” pursuant to Section 4.10 of the Senior Subordinated Note Indenture, Section 4.10 of the Media Holdings Discount Notes Indenture and Section 4.10 of the Senior Note Indenture plus (B) $10,000,000 minus the greatest aggregate amount of additional “Indebtedness” incurred and outstanding pursuant to Section 4.09(xv) of the Senior Subordinated Note Indenture, Section 4.09(xv) of the Media Holdings Discount Notes Indenture and Section 4.09(xv) of the Senior Note Indenture, as the case may be (other than, in each case, Indebtedness incurred under the Second Priority Senior Secured Notes Indenture) (all of the foregoing terms in quotation marks are used as defined in the Senior Subordinated Note Indenture, the Senior Note Indenture and the Media Holdings Discount Notes Indenture), (x) a certification that the Loans being incurred on such date, after giving effect to such Borrowing Request, are not incurred in violation of the Senior Subordinated Note Indenture, the Senior Note Indenture, the Media Holdings Discount Notes Indenture, the New Media Holdings Senior Notes Indenture or the Second Priority Senior Secured Notes Indenture including, to the extent relevant to such certification, a detailed calculation of the Leverage Ratio (as defined in the applicable indenture) demonstrating that such Leverage Ratio does not exceed 7.0 to 1 after giving effect to the Borrowing Request and (y) the Borrowing Request therefor must be in writing (and no telephonic Borrowing Requests shall be permitted).

More Definitions of Relocations

Relocations means the relocation of businesses which were otherwise already operating in Wyandotte County into the Project as described in Section 4.2(d) hereof.

Where restaurants and retailers with existing operations situated within the Restricted Area as of the Effective Date of this Agreement expand their operations by opening additional restaurants or retail facilities in the DEVELOPMENT, those additional restaurants or retail facilities will not be considered as Relocations, provided the restaurants and retail facilities with existing operations situated within the Restricted Area as of the Effective Date of this Agreement remain open for business to the general public for the term of this Agreement.

Relocation costs do not include costs for structural or capital improve- ments or items purchased in connection with the relocation.

  • Relocation Assistance Means to provide complete relocation assistance for all eligible displacees. All relocation activities shall be the responsibility of the Consultant. The Consultant acknowledges that all relocation activities shall be done in accordance with Title II of the Uniform Relocation Assistance and Real Property Acquisition Policies Act (Uniform Act), Section 163 of the Revised Code and Section 6100, 6200, 6300, 6400, 6500 and 6600 of the ODOT Real Estate Manual. Based on the type of relocation to be performed, the Consultant shall be responsible for all or part of the following: Performing the Pre-Acquisition Survey and completing all RE-95's, if necessary;Determining the Relocation Assistance Additives which include Replacement Housing Additive and Rent Supplement Additive;Determining the Normal Home Site Valuation, if necessary; Determining the economic rent, if necessary;Determining the Increased Mortgage Interest Reimbursement, when necessary; Determining all necessary Incidental Expenses to be reimbursed;Preparing Inventories;Calculating appropriate moving costs; Verifying moves;Performing Decent, Safe and Sanitary inspections;Determining all appropriate move costs for businesses, non-profit organizations, farms and personal property moves;Determining eligibility for Fixed Payments in lieu of actual cost move;Securing all necessary support documentation and preparing all necessary claim forms; Preparing responses to appeals when necessary. The Consultant will submit all replacement Housing Determinations to the Agency for approval before an offer is made to the displacee. The Agency will provide approval or rejection of determinations as soon as possible. The Consultant shall submit all claim forms and supporting documentation to the Agency for approval before any claim form is presented to the displacee.On parcels involving rent supplemental payments, the Consultant shall be responsible for the first payment and subsequent payments that normally occur before the project is certified. Rent supplement payments that occur after the Consultant certifies the project will be the responsibility of the Region. All notes and reports are to be typewritten by the Consultant.

  • Move (“moved,” “movement”) means shipped, transported, carried; held or offered for shipment, transport or carriage; received for shipment, transport or carriage; or allowed to be shipped, transported or carried.

  • Worksite location means a construction site or other temporary worksite in this state at which the employer provides services for more than twenty days during the calendar year. "Worksite location" does not include the home of an employee.

Grants awarded under this solicitation shall not contain travel paid for with Commission funds (applicants can instead use match funds) to the listed states unless the Commission approves in writing that the trip falls within one of the exceptions under the law.

  • Business location means a location where the firm carries out an activity that requires registration, and includes a residence if regular and ongoing activity that requires registration is carried out from the residence or if records relating to an activity that requires registration are kept at the residence;

  • Buildings means any and all buildings, structures, garages, utility sheds, workrooms, air conditioning towers, open parking areas and other improvements, and any and all additions, alterations, betterments or appurtenances thereto, now or at any time hereafter situated, placed or constructed upon the Land or any part thereof.

  • Space means the volume of gas which a user of a storage facility is entitled to use for the storage of gas;
