Reference Corporate Dealers definition

Reference Corporate Dealers means leading dealers of publicly traded debt securities of the Company in The City of New York (which may include the Remarketing Dealer or one of its affiliates) selected by the Remarketing Dealer after consultation with the Company.

Reference Corporate Dealers means JPMSI and four other leading dealers of publicly-traded debt securities of the Company to be mutually agreed upon by the Company and the Remarketing Dealer prior to each Determination Date.

Examples of Reference Corporate Dealers in a sentence

• If fewer than five Reference Corporate Dealers bid as described above, then the Applicable Spread shall be the lowest of such bid indications obtained as described above.

• The Class A Remarketing Agent shall request that Bids be received from such Reference Corporate Dealers and all other bidders by 3:00 p.m., New York City time, on the Business Day immediately preceding the relevant Class A Mandatory Remarketing Date.

• For this purpose, the following terms shall have the following meanings: Applicable Spread" shall be the lowest Bid, expressed as a spread (in the form of a percentage or in basis points) above the Base Rate for the ROARS, obtained by the Remarketing Dealer at 3:30 p.m., New York City time, on the Fixed Rate Determination Date from the Bids quoted to the Remarketing Dealer by five Reference Corporate Dealers.

The Interest Rate to Maturity for the ROARS announced by the Remarketing Dealer, absent manifest error, shall be binding and conclusive upon the holders of beneficial interests in the ROARS (the "Beneficial Owners"), the Company and the Trustee.

• The “ New Coupon Rate” shall be based on the Dollar Price (as defined below) of the Notes as determined from the lowest Bid (as defined below), expressed as a rate of interest (in the form of a percentage) obtained by the Remarketing Dealer prior to 3:00 p.m., New York City time, on the Determination Date from the Bids quoted to the Remarketing Dealer by up to five Reference Corporate Dealers (as defined below).

Reference Corporate Dealers means each of Salomon Brothers Inc, Chase Securities Inc., NationsBanc Montgomery Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and J. P. Morgan Securities Inc. and their respective successors; provided, however, that if any of the foregoing or their affiliates shall cease to be a leading dealer of publicly traded debt securities of the Company in The City of New York (a "Primary Corporate Dealer"), the Remarketing Dealer shall substitute therefor another Primary Corporate Dealer.

Reference Corporate Dealers means such Reference Corporate Dealers as shall be appointed by the SPURS Agent after consultation with the Company.

Reference Corporate Dealers has the meaning set forth in Section 3.2(b)(i).

Reference Corporate Dealers means each of Chase Securities Inc., Credit Suisse First Boston Corporation, Xxxxxxx Xxxxx, X.X. Xxxxxx Securities Inc. and Salomon Brothers Inc and their respective successors; provided, however, that if any of the foregoing or their affiliates shall cease to be a leading dealer of publicly traded debt securities of the Company in The City of New York (a "Primary Corporate Dealer"), the Remarketing Dealer shall substitute therefor another Primary Corporate Dealer.

Reference Corporate Dealers means such Reference Corporate Dealers as shall be appointed by the MAPS Agent after consultation with the Company.
