Following any such termination, Employee shall: (i) for a period of five (5) years, be paid an amount for each twelve month period therein equal to Employee’s Reference Base Salary (in accordance with the Company’s payroll practices); and (ii) continue to participate in all Benefit Plans (or alternative arrangements if Employee is ineligible to participate) for his lifetime on the basis set forth in Section 1(c).
The Bank (or its successor-in-interest) shall pay to the Executive in cash, within 30 days after the Date of Termination, an amount equal to three times, or two times, if the Date of Termination is after December 31, 2019, the sum of the Reference Base Salary and the Reference Annual Bonus as of the Date of Termination as defined in Section 7(a).
In such instance the Participant's Termination Date shall be the Change in Control Date and determinations of Reference Base Salary, Target Bonus and unvested awards shall be based upon circumstances in effect immediately prior to the Participant's termination of employment.
