Reference Base Salary definition

Reference Base Salary with respect to a Participant means the annual base salary of such Participant as in effect immediately prior to the Termination Date (determined without regard to any reduction which would constitute a basis for a Participant’s resignation for Good Reason, if such Participant’s Applicable Benefits Schedule contains a right to terminate for Good Reason), or if greater as in effect immediately prior to the Change in Control Date.
Reference Base Salary with respect to a Participant means the annual base salary of such Participant as in effect immediately prior to the Termination Date (determined without regard to any reduction which would constitute a basis for a Participant’s resignation for Good Reason, if such Participant’s Applicable Benefits Schedule contains a right to terminate for Good Reason), or, if greater, the highest annual base salary of such Participant as in effect during the period beginning on the Change in Control Date and ending on the Termination Date.

Examples of Reference Base Salary in a sentence

  • Following any such termination, Employee shall: (i) for a period of five (5) years, be paid an amount for each twelve month period therein equal to Employee’s Reference Base Salary (in accordance with the Company’s payroll practices); and (ii) continue to participate in all Benefit Plans (or alternative arrangements if Employee is ineligible to participate) for his lifetime on the basis set forth in Section 1(c).

  • The Bank (or its successor-in-interest) shall pay to the Executive in cash, within 30 days after the Date of Termination, an amount equal to three times, or two times, if the Date of Termination is after December 31, 2019, the sum of the Reference Base Salary and the Reference Annual Bonus as of the Date of Termination as defined in Section 7(a).

  • In such instance the Participant's Termination Date shall be the Change in Control Date and determinations of Reference Base Salary, Target Bonus and unvested awards shall be based upon circumstances in effect immediately prior to the Participant's termination of employment.


More Definitions of Reference Base Salary

Reference Base Salary means $700,000 if the Date of Termination occurs prior to January 1, 2020, and the annual rate of Base Salary then in effect under Section 4(a) if the Date of Termination occurs after 2019; and (y) the “Reference Annual Bonus” shall mean $525,000 if the Date of Termination is before January 1, 2020, and the annual incentive target then in effect under Section 4(b) if the Date of Termination is after 2019.

  • Annual Base Salary shall have the meaning set forth in Section 3(a).

  • Monthly Base Salary means 1/12th of the greater of (i) Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control Termination or a Covered Termination, as applicable, or (ii) in the case of a Change in Control Termination, Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control.

  • Annual Salary means the salary given under this Part.

  • Base Salary shall have the meaning set forth in Section 3(a) hereof.

  • Monthly Salary Rate means the amount agreed to by Owner that can be used on Applications for Payment throughout the Construction Phase to account for the monthly salary costs of Contractor’s salaried personnel assigned to the Project. A Monthly Salary Rate must be established for each salaried person and must be approved in writing by Owner in advance of any Application for Payment for that person. The Monthly Salary Rate is for convenience only and any payments made for Contractor’s personnel are subject to audit to determine the actual cost of the wages and allowable employer contributions incurred by Contractor for services performed. The initial Monthly Salary Rate is included in Exhibit “G” attached to this Agreement.
