Project D definition

Project D means the acquisition of the cable networks of the municipalities of Oirschot (including the cable network in Oost-, West- and Middelbeers), Nuenen and Heeze- Leende as well as the development and exploitation of enhanced cable TV services (including expanded basis TV, premium TV and interactive pay per view), data and internet services and telephony services as further described in the Agreed Base Case, as amended;
Project D means the Project, including any Sub-Programs thereof, described as “Project D” in the Project Business Plan.
Project D. DIVESTITURE. Either (i) the Companies shall have completed the divestiture of the "Project D" assets in accordance with the Purchase and Sale Agreement, dated December 15, 1998 and amended December 22, 1998, January 31, 1999, February 5, 1999, February 10, 1999 and as of February 15, 1999 (the "Project D Agreement"), among Patriot, Patriot OP and PW Holding I, LLC, without incurring any penalties, fees or damages thereunder for failure to complete such divestiture in a timely fashion or modifying the transactions contemplated thereby without the consent of the Investors; PROVIDED, that the Investors shall respond within five business days following their receipt of any request by the Companies to obtain the Investors' consent to any proposed modification of the Project D Agreement under this Section 5.2(j), or (ii) the divestiture of such assets shall not have been completed due to a failure of the conditions thereto which failure is not caused by a breach by the Companies.

Related to Project D

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.

  • Project Work means the work required to complete the Project.

  • Projects means the projects identified in Exhibit A to the Agreement and all other projects, any costs of which are included in a Transitional Capital Plan pursuant to the Act or are Recovery Costs, and financed, by payment or reimbursement, with the proceeds of Bonds or Notes.

  • Project Plan means the document to be developed by the Contractor and approved by WTL, based on the requirements of the Contract and the Preliminary Project Plan included in the Contractor’s bid. For the sake of clarity, the Agreed and Finalized Project Plan” refers to the version of the Project Plan submitted by the contractor after receiving the letter of Award and the same approved by WTL. The project plan may be changed/ modified during the course of the project. Should the Project Plan conflict with the provisions of the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.
