Proforma Balance Sheet definition

Proforma Balance Sheet has the meaning described in Section 4.1.12 (Proforma Financial Statements) below.
Proforma Balance Sheet means the consolidated proforma balance sheet of the Company, as at 30 November 2003, prepared on the basis that it holds 100% of the Japanese and Taiwanese Vsource Companies, containing particulars on the repayment of shareholder's loans and payment of dividends, and which shall be delivered by the Vendor to the Purchaser within the time period stipulated in Clause 5.2 herein;
Proforma Balance Sheet has the meaning specified in Section 1.1(a).

  • Off-Balance Sheet Obligations means liabilities and obligations of the Borrower, any Subsidiary or any other Person in respect of “off-balance sheet arrangements” (as defined in Item 303(a)(4)(ii) of Regulation S-K promulgated under the Securities Act) which the Borrower would be required to disclose in the “Management’s Discussion and Analysis of Financial Condition and Results of Operations” section of the Borrower’s report on Form 10-Q or Form 10-K (or their equivalents) which the Borrower is required to file with the Securities and Exchange Commission (or any Governmental Authority substituted therefor).
