Proceedings and Documents Satisfactory. All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Seller in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Seller and its counsel, and the Seller shall have received the originals or certified or other copies of all such records and documents as the Seller may reasonably request.

All proceedings in connection with the transactions contemplated by this Agreement and all certificates and other documents delivered to such party pursuant to this Agreement or in connection with the Closing will be reasonably satisfactory to such party and its counsel.

Lessor shall have received such certificates, opinions and other documents as it or its counsel may reasonably require in order to consummate the transactions contemplated hereby, all of which shall be in form and substance reasonably satisfactory to it and its counsel. All proceedings in connection with the purchase of the Assets set forth herein and all certificates and documents delivered to Lessor pursuant to this Annex A shall be reasonably satisfactory in form and substance to Lessor and its counsel acting reasonably and in good faith.

The Company shall have delivered to the Buyers such other documents and instruments as the Buyers deem reasonably necessary or desirable to consummate the transactions contemplated hereby. All proceedings in connection with the transactions contemplated by this Agreement and all certificates and documents delivered to the Buyers in connection with the transactions contemplated by this Agreement shall be satisfactory in all reasonable respects to the Buyers, and the Buyers shall have received the originals or certified or other copies of all such records and documents as the Buyers may reasonably request. The Buyers shall have completed its due diligence investigation of the Company and shall be satisfied, in its sole discretion, with the results of such investigation.
Proceedings and Documents Satisfactory. All opinions, certificates and other instruments and all proceedings taken in connection with the execution and delivery of this Agreement and the transactions contemplated hereby shall be reasonably satisfactory to the Noteholders and their special counsel; and the Noteholders and their special counsel shall have received copies of such documents and papers as may be reasonably requested in connection therewith.
Proceedings and Documents Satisfactory. All proceedings, corporate or other, to be taken by FDB in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to counsel for BIF, and FDB shall have made available to BIF for examination the originals or true and correct copies of all records and documents relating to the business and affairs of FDB which BIF may reasonably request in connection with said transactions.
Proceedings and Documents Satisfactory. All proceedings, corporate or otherwise, to be taken by Seller or the Company in connection with the transactions contemplated hereby, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Purchaser and its counsel.
