Priority Class Notes definition

Priority Class Notes. Until the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes are reduced to zero and all sums payable to the Holders of the Senior Notes have been paid in full, the Senior Notes; when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes have been reduced to zero and all amounts payable to the Holders of the Senior Notes have been paid in full, the Class M1 Notes; when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes and the Class M1 Notes have been reduced to zero and all sums payable to the Holders of such Classes have been paid in full, the Class M2 Notes; when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes, the Class M1 Notes and the Class M2 Notes have been reduced to zero and all sums payable to the Holders of such Classes have been paid in full, the Class M3 Notes; when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes, the Class M1 Notes, the Class M2 Notes and the Class M3 Notes have been reduced to zero and all sums payable to the Holders of such Classes have been paid in full, the Class M4 Notes; and when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes, the Class M1 Notes, the Class M2 Notes, the Class M3 Notes and the Class M4 Notes have been reduced to zero and all sums payable to the Holders of such Classes have been paid in full, the Class M4 Notes; when the Class Principal Amounts (or Class Notional Amounts) of the Senior Notes and the Class M1 Notes, the Class M2 Notes, the Class M3 Notes, the Class M4 Notes and the Class M5 Notes have been reduced to zero and all sums payable to the Holders of such Classes have been paid in full, the Class M6 Notes. Proceeding: Any suit in equity, action at law or other judicial or administrative proceeding. Prospective Owner: Each prospective purchaser and any subsequent transferee of a Note.
Priority Class Notes. Until the Class Principal Amounts of the Senior Notes are reduced to zero and all sums payable to the Noteholders of the Senior Notes have been paid in full, the Senior Notes; when the Class Principal Amounts of the Senior Notes have been reduced to zero and all amounts payable to the Noteholders of the Senior Notes have been paid in full, the Class M Notes by Class in alphanumeric order, each until the Class Principal Amount of the applicable Class of Class M Notes has been reduced to zero and all sums payable to the Noteholders of such Class M Notes have been paid in full.
Priority Class Notes. Until the Class Principal Amounts of the Class [ ] Notes are reduced to zero and all sums payable to the Holders of the Class [ ] Notes have been paid in full, the Class [ ] Notes acting as a single Class; when the Class Principal Amounts of the Class [ ] Notes are reduced to zero and all sums payable to the Holders of the Class [ ] Notes have been paid in full, each individual Class of Subordinate Notes consecutively in ascending order, starting with the Class of Subordinate Notes with the lowest numerical designation, until the Class Principal Amounts of such Class of Subordinate Notes are reduced to zero and all sums payable to the Holders thereof have been paid in full.

Examples of Priority Class Notes in a sentence

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, if the Indenture Trustee or Holders of the Notes representing not less than a majority of the Outstanding Balance of the Priority Class Notes, have declared the Notes to be immediately due and payable in the manner provided in Section 5.02.

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, or if the Indenture Trustee or Holders of the Notes representing not less than a majority of the Outstanding Balance of the Priority Class Notes have declared the Notes to be immediately due and payable in the manner provided in Section 5.02.

  • The Holders of Non Priority Class Notes shall have no right to exercise any Noteholders' rights referred to in this Article Five, except to the extent expressly provided herein.

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes, together with any unpaid Deferred Amounts in respect thereof, shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, if the Indenture Trustee or Holders of the Notes representing not less than a majority of the Outstanding Amount of the Priority Class Notes, have declared the Notes to be immediately due and payable in the manner provided in Section 5.02.

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, if the Indenture Trustee, or Holders of the Notes representing not less than a majority of the Outstanding Balance of the Priority Class Notes, have declared the Notes to be immediately due and payable in the manner provided in Section 5.02.

  • The Counterparties shall have no right to enforce such lien under any circumstances except to the extent that an Event of Default has occurred hereunder and the Indenture Trustee or Holders of the Priority Class Notes have declared the Notes to be immediately due and payable as provided herein.

  • The Holders of Non Priority Class Notes shall have no right to exercise any Noteholders’ rights referred to in this Article Five, except to the extent expressly provided herein.

  • Highest Priority Class Notes: Until the Class Principal Balances of all Classes of Senior Notes are reduced to zero and all sums payable to the Holders of the Senior Notes have been paid in full, the Senior Notes acting together as if a single class; when the Class Principal Amounts of all Classes of Senior Notes have been reduced to zero and all amounts payable to the Holders of the Senior Notes have been paid in full, the Class M Notes.

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes (other than the Class P Notes) shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, if the Indenture Trustee or Holders of the Notes representing not less than a majority of the Outstanding Balance of the Priority Class Notes, have declared the Notes to be immediately due and payable in the manner provided in Section 5.02.

  • Notwithstanding the foregoing, the entire unpaid principal amount of the Notes shall be due and payable, if not previously paid, on the date on which an Event of Default shall have occurred and be continuing, or if the Indenture Trustee or Holders of the Notes representing not less than a majority of the Outstanding Balance of the Priority Class Notes have declared the Notes to be immediately due and payable in the manner provided in Section 5.

Related to Priority Class Notes

  • Subordinated Class means, with respect to the Class A Notes, the Class B Notes.

  • Class E Notes has the meaning assigned to such term in the Indenture.

  • Priority Claims means, collectively, Priority Tax Claims and Other Priority Claims.

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • B Notes means each of Note B-1, Note B-2, Note B-3 and Note B-4.
