Pre-IPO Value definition

Pre-IPO Value means the product of (a) the quotient obtained by dividing (i) the net proceeds to the IPO Issuer from a Qualified IPO (less the reasonably estimated expenses of such Qualified IPO to the IPO Issuer) by (ii) a fraction (expressed as a percentage), the numerator of which is the number of Publicly Offered Securities to be sold to the public in the Qualified IPO and the denominator of which is the total number of securities of the same class or series as the Publicly Offered Securities (including the Publicly Offered Securities) that will be outstanding immediately after the Qualified IPO and (b) the difference between 100% and the percentage described in clause (a)(ii) of this definition.
Pre-IPO Value means the per share price at which the common stock of the IPO Entity is reasonably and in good faith expected by the Board of Directors to be offered by the underwriters of the initial public offering of the IPO Entity.
Pre-IPO Value means the product of (i) the total number of Units, as determined by the board of directors of Jagged Peak LLC, outstanding at Jagged Peak LLC following the recapitalization described in Section 1.2 and (ii) the IPO Price.

More Definitions of Pre-IPO Value

Pre-IPO Value means the total equity value of all membership interests of Holdco immediately prior to the Form 8-A Effective Time that is implied by the IPO Price Per Share.
Pre-IPO Value means the gross equity valuation of Holdings immediately prior to the IPO Date determined based on the IPO Price, but without any reduction to reflect the Company’s or Holdings’ liability for the payment of the IPO Stock Bonus or any similar cash or stock bonus payable to any other employee of the Company on account of an IPO. Notwithstanding the foregoing, if there is a substantial new equity financing or acquisition that results in the issuance of at least $5 million in equity securities of Holdings (or in securities that are convertible into equity securities of Holdings) on or after the Agreement Date, the Pre-IPO Value shall be reduced by the amount raised in such equity financing or the value (determined at the time of such acquisition) of the equity securities (including securities that are convertible into equity securities) issued in such acquisition.

Pre-IPO Value means the product of (i) the total number of Units, as determined by the board of directors of Jagged Peak LLC, outstanding at Jagged Peak LLC following the recapitalization described in S ection 1.2 and (ii) the IPO Price.
