POST-CLOSING RESERVE definition

POST-CLOSING RESERVE means a reserve in the amount of Post-Closing Reserve Amount which shall be established on the 30th day following the Closing Date; PROVIDED, that such reserve shall not be established (or if established shall be released) if Agent has received acknowledgment copies of its financing statements (which financing statements shall (i) contain the record owners and legal descriptions for the Real Property which contain 90% of the coal reserves owned or leased by the Companies which the Companies mine or intend to mine and (ii) be in form and substance reasonably satisfactory to Agent) filed in the appropriate jurisdictions covering As-extracted Collateral of each Company.
