Plan Settlement Parties definition

Plan Settlement Parties means, collectively: (a) the Debtors; (b) the Term Loan Agent; (c) the Term Loan Lenders; (d) the DIP Facility Agent; and (e) the DIP Facility Lenders, each of which are party to the Plan Settlement.
Plan Settlement Parties means the Debtor, the Creditors’ Committee, Florida Sawmills, and the Klausner Group.

Examples of Plan Settlement Parties in a sentence

  • Each of (i) the Partner Settlement Party Releases set forth in Section 11.11 and (ii) the Debtor’s release of the Plan Settlement Parties (as set forth in the Release Provisions) shall be in form and substance acceptable to the Partner Settlement Parties and the Committee.

  • The budget requirements of £115,000 per annum reoccurring will be picked up through the forthcoming budget discussions.

  • Finally, the Plan provides for and implements the Plan Settlement by and between the Plan Settlement Parties, pursuant to which, among other things, any and all disputes among the Debtors, the Committee and the Partner Settlement Parties are resolved.

  • That certain Settlement Agreement, dated on or about June 18, 2020, by and between the Plan Settlement Parties, which is incorporated herein and annexed hereto as Exhibit A, which agreement resolves various disputes, provides valuable consideration to the Debtors and the Estates, including the indemnification rights set forth in the Indemnity Agreement, and grants certain releases on the terms and conditions provided for therein.

  • The site assessments and CALU analysis demonstrate that the IBI’s appear to be accurately predicting wetland condition in most cases.

  • The entry of the Confirmation Order shall constitute the Bankruptcy Court’s approval of such compromise and settlement under section 1123 of the Bankruptcy Code and Bankruptcy Rule 9019 (with respect to the Plan Settlement Parties), as well as a finding by the Bankruptcy Court that such settlement and compromise is fair, equitable, reasonable, and in the best interests of the Debtor and its Estate.

  • Notably, no holder of any Claim or Equity Interest has objected to the Plan Settlements, the releases and exculpations provided to the Plan Settlement Parties by the Revised Plan, or any other aspect of the Revised Plan.

  • The Plan Settlements provide for certain releases and exculpations in favor of the Plan Settlement Parties, which are critical components of the Plan Settlements and, without which, the Plan Settlement Parties would not have agreed to the Plan Settlements.

  • Non-Settling Defendants means any Defendant that is not a Releasee and includes any Defendant that terminates its own settlement agreement in accordance with its terms or whose settlement otherwise fails to take effect for any reason, whether or not such settlement agreement is in existence at the Execution Date.

  • Individual Settlement Payment means the amount payable from the Net

  • Master Settlement Agreement means the settlement agreement and related documents entered into on November 23, 1998, by the state and leading United States tobacco product manufacturers.

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Operating Agreement, section 3.3. PJM Tariff, Xxxxxx, O.A.T.T., OATT or PJM Open Access Transmission Tariff: “PJM Tariff,” “Tariff,” “O.A.T.T.,” “OATT,” or “PJM Open Access Transmission Tariff” shall mean that certain PJM Open Access Transmission Tariff, including any schedules, appendices or exhibits attached thereto, on file with FERC and as amended from time to time thereafter.   • ASX Settlement means ASX Settlement Pty Ltd (ABN 49 008 504 532);

  • Non-Settling Defendant means any Defendant that is not a Settling Defendant or any Defendant that has not entered into a binding and approved settlement with the Plaintiffs in the Proceedings, whether or not such settlement agreement is in existence at the Date of Execution, and includes any Defendant that terminates its own settlement agreement in accordance with its terms or whose settlement otherwise fails to take effect for any reason, whether or not such settlement agreement is in existence at the Date of Execution.

  • Ontario Settlement Class means the settlement class in respect of the Ontario Action as defined in Schedule A.

  • Viatical settlement provider means a person, other than a viator, who enters into or effectuates a viatical settlement contract. Viatical settlement provider does not include:

  • Gross Settlement Fund means the Settlement Amount plus all interest earned thereon.

  • Energy Settlement Area means the bus or distribution of busses that represents the physical location of Network Load and by which the obligations of the Network Customer to PJM are settled. Energy Storage Resource:

  • Structured settlement agreement means the agreement, judgment, stipulation, or release embodying the terms of a structured settlement.

  • Day-ahead Settlement Interval means the interval used by settlements, which shall be every one clock hour. Day-ahead System Energy Price:

  • Net Share Settlement On each Settlement Date, Issuer shall deliver to Dealer a number of Shares equal to the Number of Shares to be Delivered for such Settlement Date to the account specified by Dealer and pay cash to Dealer in lieu of any fractional shares valued at the Relevant Price on the Valuation Date corresponding to such Settlement Date. Number of Shares to be Delivered: In respect of any Exercise Date, subject to the last sentence of Section 9.5 of the Equity Definitions, the product of (i) the number of Warrants exercised or deemed exercised on such Exercise Date, (ii) the Warrant Entitlement and (iii)(A) the excess, if any, of the VWAP Price on the Valuation Date occurring on such Exercise Date over the Strike Price, divided by (B) such VWAP Price. The Number of Shares to be Delivered shall be delivered by Issuer to Dealer no later than 4:00 P.M. (local time in New York City) on the relevant Settlement Date.

  • Share Settlement means a number of shares of Class A Common Stock (together with any Corresponding Rights) equal to the number of Redeemed Units.

  • Viatical settlement broker means a person, including a life insurance producer as provided for in section 508E.3, who, working exclusively on behalf of a viator and for a fee, commission, or other valuable consideration, offers or attempts to negotiate viatical settlement contracts between a viator and one or more viatical settlement providers or one or more viatical settlement brokers. Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • Settlement Payment means the transfer, or contractual undertaking (including by automated clearing house transaction) to effect a transfer, of cash or other property to effect a Settlement.

  • Structured settlement payment rights means rights to receive periodic payments under a structured settlement, whether from the structured settlement obligor or the annuity issuer, where:

  • Structured settlement annuity means an annuity purchased in order to fund periodic payments for a plaintiff or other claimant in payment for or with respect to personal injury suffered by the plaintiff or other claimant.

  • Standard Settlement Period means the standard settlement period, expressed in a number of Trading Days, on the Company’s primary Trading Market with respect to the Common Stock as in effect on the date of delivery of the Notice of Exercise.

  • Combination Settlement shall have the meaning specified in Section 14.02(a).

  • Settlement Agreements means any settlement reached in the U.S. Litigation with any of the Settling Defendants.

  • Retail Settlement Code or “Code” means this code approved by the Board and in effect at the relevant time, which, among other things, establishes a distributor’s obligations and responsibilities associated with financial settlement among retailers and consumers and provides for tracking and facilitating consumer transfers among competitive retailers.

  • Settlement Fund means the Settlement Amount plus any and all interest earned thereon.

  • ASTC Settlement Rules means the operating rules of ASTC and, to the extent that they are applicable, the operating rules of ASX and the operating rules of the Australian Clearing House Pty Limited;

  • ASX Settlement Operating Rules means the rules of ASX Settlement Pty Ltd which apply while the Company is an issuer of CHESS approved securities;

  • CCASS Settlement Day means the term “Settlement Day” as defined in the General Rules of CCASS.
