  • Any payments to Xxxxxx pursuant to the terms of this Employment Agreement shall be reduced by such amounts, if any, as are required to be withheld with respect thereto under all present and future federal, state, and local tax laws and regulations and other laws and regulations.

  • If Xxxxxx concludes that tax withholdings under the Laws of any country in the Territory are required with respect to payments to Xxxxxx, Xxxxxx may withhold such amounts and Xxxxxx shall promptly provide Xxxxxx with original receipts or other evidence reasonably desirable and sufficient to allow Xxxxxx to document such tax withholdings for purposes of claiming foreign tax credits and similar benefits.
