Owner Indemnified Person the Owner and each of its officers, governing members, directors, officials, employees, attorneys, agents and members.

The Operator covenants and agrees to replace any such label, plate or tag which may be removed or destroyed or become illegible, and the Operator shall indemnify each Owner Indemnified Person against any liability, loss or expense incurred by such Owner Indemnified Person as a result of the failure to maintain such markings.

The Subservicer shall be entitled to reimbursement of any such costs and expenses from the Owner, upon written notice, unless such claim relates to a matter for which the Subservicer is required to indemnify the Owner Indemnified Person.
No Owner Indemnified Person or Manager Indemnified Person shall be defended, indemnified, or held harmless from or against, nor exculpated from, any Claim under Section 12.1 or Section 12.2 to the extent caused by or resulting or arising from such Person’s bad faith, willful misconduct, recklessness, gross negligence, or breach or failure to comply with or perform any obligation under this Agreement.
Each Managing Owner Indemnified Person, to the extent it is not a party to this Agreement, is a third-party beneficiary of this Agreement and may proceed directly against the Managing Owner, a Fund or their respective agents (including by bringing proceedings against the Managing Owner, a Fund or their respective agents in its own name) to enforce any obligation of the Managing Owner, a Fund or their agents under this Agreement which directly or indirectly benefits such Managing Owner Indemnified Person.
