Customer must provide a notification to Seller (the “Option Exercise Notice”) of its intent to purchase at least 90 days and not more than 180 days prior to the applicable Option Purchase Date, and the purchase shall be completed prior to or effective as of such Option Purchase Date.
At the end of the Initial Term and each Extension Term, and at the beginning of Contract Year 7, 10, and Contract Year 25 (each such date, an “Option Purchase Date”), so long as Customer is not in default under this Agreement, Customer may purchase the System from Seller on any such Option Purchase Date for the applicable Good Standing Purchase Price.
The Option Purchase Date shall be mutually agreeable to Landlord and Tenant.
To exercise such right, a Holder shall deliver to the Paying Agent a Put Option Notice containing the information set forth in the Indenture, at any time prior to 5:00 p.m., New York City time, on the Business Day immediately preceding the Put Option Purchase Date, and shall deliver the Securities to the Paying Agent as set forth in the Indenture.
If the Seller exercises this option, the option shall expire with respect to the Aggregate Receivables existing on such Option Purchase Date; provided, however, that the Seller shall have the option to purchase up to the greater of five percent (5%) or any other percent amount otherwise consented to by the Required Noteholders of any Additional Receivables sold to the Issuer following such Option Purchase Date.
