  • Subject to Section 5.1, prior to the Effective Time, NHF will authorize the Distribution Agent, for the benefit of holders of record of NHF Common Shares at the close of business on the Record Date (the “Record Holders”), to effect the book-entry transfer of all outstanding shares of NXRT Common Stock and will instruct the Distribution Agent to effect the Distribution at the Effective Time in the manner set forth in Section 4.3.

  • NXRT, at its option, may register under a registration statement and any filings with any state securities commissions filed pursuant to this Agreement, any number of unissued shares of NXRT Common Stock or any shares of NXRT Common Stock owned by any other stockholder or stockholders of NXRT.

  • All of the shares of NXRT Common Stock distributed in the Distribution will be validly issued, fully paid and non-assessable.
