Note Certificate definition

Note Certificate means a certificate issued to each Registered Holder in respect of its registered holding of Notes;

Note Certificate means a Global Registered Note and/or an Individual Note Certificate;

Note Certificate means a security certificate representing one or more Notes.

• If the Global Registered Note becomes exchangeable for Individual Note Certificates in accordance with its terms, the Registrar shall authenticate and deliver to each person designated by a Clearing System an Individual Note Certificate in accordance with the terms of this Agreement and the Global Registered Note.

• The Replacement Agent shall, on issuing a replacement Bearer Note, Certificate, Receipt, Coupon or Talon, forthwith inform the other Agents of its certificate number and of the one that it replaces.
