Global Note Certificates definition

Global Note Certificates means the US Global Note Certificates and the Reg S Global Note Certificates;

Global Note Certificates means the Class A Global Note Certificate, the Class B Global Note Certificate and the Class C Global Notes Certificate, or any of them, as the context may require;

Global Note Certificates means the Restricted Global Note Certificate and the Unrestricted Global Note Certificate and “Global Note Certificate” means either of them;

Examples of Global Note Certificates in a sentence

• Application will be made to have Global Notes or Global Note Certificates of any Series accepted for clearance and settlement through the facilities of DTC, Euroclear, Clearstream, Luxembourg and/or the CMU Service, as appropriate.

• Transfers of beneficial interests in Global Note Certificates will be effected by Euroclear, Clearstream, Luxembourg and/or DTC, as the case may be, and in turn, by other participants and, if appropriate, indirect participants in such clearing systems acting on behalf of beneficial transferors and transferees of such interests.

• The Global Note Certificates shall be printed or typewritten and shall be in the form or substantially in the respective forms set out in Schedule 1 (Forms of Global Note Certificates) and may be a facsimile which the Current Issuer shall deposit with the DTC Custodian or the Common Depositary, as the case may be.

• The Global Note Certificates so executed and authenticated shall be binding and valid obligations of the Current Issuer, notwithstanding that such duly authorised person no longer holds that office at the time the Registrar authenticates the relevant Global Note Certificate.

• The Global Note Certificates shall be issued only in registered form without coupons or talons and signed manually or in facsimile by a person duly authorised by the Current Issuer on behalf of the Current Issuer and the Current Issuer shall procure that the Global Note Certificates shall be authenticated by or on behalf of the Registrar on the Closing Date.

More Definitions of Global Note Certificates

Global Note Certificates means the note certificates in global form issued in respect of the Current Issuer Notes, initially in the form of the US Global Note Certificates and the Reg S Global Note Certificates or any of them and "GLOBAL NOTE CERTIFICATE" means any one of them;

Global Note Certificates. ’ means the US Global Note Certificates and the Reg S Global Note Certificates;

Global Note Certificates means the note certificates representing the Notes in global form;

Global Note Certificates means the Note Certificates representing the Notes while in global form, in each case in the form or substantially in the form set out in Part A, in the case of the Class A Notes, or Part B, in the case of the Class B Notes, of Schedule 1 (Forms of Global Note Certificates) of the Note Trust Deed;

Global Note Certificates the "NOTE CERTIFICATES") in the limited circumstances specified in the Trust Deed and such Global Note Certificates.

Global Note Certificates means each of the Existing Global Note Certificates and the Further Global Note Certificates in fully registered form, without coupons, substantially in the form set out in Part A, Part B, Part C and Part D respectively, of the First Schedule and includes any replacements for the Global Note Certificates issued pursuant to Condition 9 and “Global Note Certificate” means any of them;

Global Note Certificates means the SEC Registered Global Note Certificates, the Rule 144A Global Note Certificates and the Regulation S Global Note Certificates or any of them;
