No Tax Liens. The Seller is not aware of any material judgment or tax lien filings against the Seller.
No Tax Liens. There are no liens for Taxes on any assets of the Company or any of its Subsidiaries, other than Permitted Liens.

No Tax Liens. None of the assets of WSN is subject to any lien in favor of the united States pursuant to Section 6321 of the Internal Revenue Code of 1986, as amended (the "Code"), for nonpayment of federal taxes, or any lien in favor of any state under any comparable provision of state law.

There are no Encumbrances on any of the assets, rights or properties of WE JAC or of any of is Subsidiaries with respect to Taxes, other than liens for Taxes not yet due and payable or for Taxes that WE JAC or one or more of its Subsidiaries are contesting in good faith through appropriate proceedings and for which appropriate reserves have been established on the WE JAC Financial Statements. There are no Encumbrances on any of the assets, rights or properties of Miracle Industries or of either Hydro-Spray or Indy Ventures with respect to Taxes, other than liens for Taxes not yet due and payable or for Taxes that such party is contesting in good faith through appropriate proceedings and for which appropriate reserves have been established on the Miracle Industries Financial Statements.
