Newly Formed Subsidiary definition

Newly Formed Subsidiary means a newly formed wholly owned Subsidiary of Parent established for the sole purpose of acquiring title to an Eligible Asset in accordance with the terms of this Agreement, which Newly Formed Subsidiary shall be a Special Purpose Entity to the extent required by Buyer in its sole and absolute discretion.
