Monash has the meaning set forth in the definition of “Monash License”. “Monash License” means that certain License Agreement between Monash University, ABN 12 377 614 012, a body politic and corporate constituted in accordance with the Monash University Act 2009 of Wellington Road, ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇, Australia 3800 (“Monash”) and PureTech, dated August 1, 2017, as amended. “Net Income” means [***] “Net Sales” means [***] “New Seaport Employees” means the employees of PureTech and its Controlled Affiliates that leave employment with those employers directly to become employees of Seaport and its Controlled Affiliates. “Non-controlling Party” means the Party not controlling the defense of any Third Party Action. “Non-CNS Indication” means any indication that is not a CNS Indication.
