The outstanding Capital Stock of the Company is duly authorized, validly issued, fully paid and nonassessable and is not Margin Stock; and, except as provided in the Rights Agreement, the Warrants and the Mezzanine Warrants, not subject to any preemptive right, right of first refusal or offer or similar right on the part of any other Person, and all of such Capital Stock has been (or will have been) offered and issued in accordance with all applicable laws.
The Company and certain of the Warrant Holders are parties to a Subordinated Note and Warrant Purchase Agreement, dated as of January 18, 2002 ("2001 Note Agreement"), providing, among other things, for the purchase by such Warrant Holder of warrants (the "2001 Warrants" and, together with the Mezzanine Warrants and the Preferred B Warrants, the "Warrants") to acquire up to 1,133,328 shares (subject to adjustment as provided in such Warrants) of Class A Common Stock of the Company.
The Company has full right, power and authority to issue to the Windward Entities all of the shares of Common Stock to by purchased by the Windward Entities pursuant to Section 2.1 hereof and to be issued pursuant to the Mezzanine Warrants.
The rights provided to each other Stockholder under this Section 3 shall terminate at such time as such Stockholder ceases to own more than 50% of the aggregate Shares and Mezzanine Warrants (on an as-exercised basis) held by it as of the date hereof or as of such later date when such Stockholder first acquired Shares or Mezzanine Warrants subject to this Agreement.
