Loan Payment Percentage definition

Loan Payment Percentage means the following percentages for the following Amortization Dates, beginning with the Amortization Date on June 30, 2013 (the “First Amortization Date”) and with all Amortization Dates thereafter being treated sequentially (by way of example only, the Amortization Date occurring on June 30, 2013 would be the first Amortization Date for purposes hereof, and the Amortization Date occurring on July 31, 2014 would be the fifth Amortization Date for purposes hereof): (i) 10% for the First Amortization Date, (ii) 2.5% for each of the first four Amortization Dates to occur after the First Amortization Date, (iii) 3.75% for each of the fifth through and including the twelfth Amortization Dates to occur after the First Amortization Date, (iii) 5.0% for each of the thirteenth through and including the sixteenth Amortization Dates to occur after the First Amortization Date and (iv) 7.5% for each Amortization Date thereafter.
Loan Payment Percentage means the following percentages for the following Amortization Dates, beginning with the Amortization Date on July 31, 2013 (the “First Amortization Date”) and with all Amortization Dates thereafter being treated sequentially (by way of example only, the Amortization Date occurring on July 31, 2013 would be the first Amortization Date for purposes hereof, and the Amortization Date occurring on July 31, 2014 would be the fifth Amortization Date for purposes hereof): (i) 10% for the First Amortization Date, (ii) 2.5% for each of the first four Amortization Dates to occur after the First Amortization Date, (iii) 3.75% for each of the fifth through and including the twelfth Amortization Dates to occur after the First Amortization Date, (iii) 5.0% for each of the thirteenth through and including the sixteenth Amortization Dates to occur after the First Amortization Date and (iv) 7.5% for each Amortization Date thereafter.
Loan Payment Percentage means (i) 42.86% or (ii) solely with respect to calculating the Loan Payment Amount payable upon an Event of Default prior to December 31, 2008, the percentage equal to (x) 42.86% multiplied by (y) the number of calendar days in the period from the Closing Date until the date of payment of the Loan Payment Amount divided by (z) the number of calendar days in the period from the Closing Date until December 31, 2008. For the avoidance of doubt, the Loan Payment Percentage is determined by (ii) above if and only if (i) there has been an Event of Default prior to December 31, 2008, (ii) there has not been an IPO and (iii) the Borrower has not given notice of a voluntary prepayment pursuant to Section 2.11

Examples of Loan Payment Percentage in a sentence

  • The Borrower shall repay the Term B Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending September 30, 2014, in an amount equal to the then applicable Term B Loan Payment Percentage times the aggregate principal amount of the Term B Loans on the Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Loans on each Amortization Date, commencing on July 31, 2013, in an amount equal to the then applicable Loan Payment Percentage times the aggregate principal amount of the Loans on the Effective Date (subject to adjustment pursuant to Section 2.10 as a result of prepayments).

  • Each Borrower shall repay its Term Loans on the last day of each Fiscal Quarter in an amount equal to the then applicable Term Loan Payment Percentage times the aggregate principal amount of its Term Loans on the Funding Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Term B Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending December 31, 2011, in an amount equal to the then applicable Term B Loan Payment Percentage times the aggregate principal amount of the Term B Loans on the Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • In all other cases, the Loan Payment Percentage shall be determined by (i) above.

  • The Borrower shall repay the Term B Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending June 30, 2019, in an amount equal to the then applicable Term B Loan Payment Percentage times the aggregate principal amount of the Term B Loans initially funded on the Amendment No. 3 Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Term A Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending December 31, 2011, in an amount equal to the then applicable Term A Loan Payment Percentage times the aggregate principal amount of the Term A Loans on the Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Term B Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending SeptemberJune 30, 20142019, in an amount equal to the then applicable Term B Loan Payment Percentage times the aggregate principal amount of the Term B Loans initially funded on the Amendment No. 3 Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Term A Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending September 30, 2014, in an amount equal to the then applicable Term A Loan Payment Percentage times the aggregate principal amount of the Term A Loans on the Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

  • The Borrower shall repay the Term A Loans on the last day of each Fiscal Quarter, commencing with the Fiscal Quarter ending June 30, 2017, in an amount equal to the then applicable Term A Loan Payment Percentage times the aggregate principal amount of the Term A Loans on the Effective Date (subject to adjustment pursuant to Section 2.11 as a result of prepayments).

Related to Loan Payment Percentage

  • Prepayment Percentage As of the Closing Date, approximately 0%, and thereafter, with respect to any Distribution Date, the excess of 100% over the Senior Prepayment Percentage.

  • Final Payment Percentage is five percent (5.00%).

  • Senior Prepayment Percentage For any Distribution Date during the five years beginning on the first Distribution Date, 100%. The Senior Prepayment Percentage for any Distribution Date occurring on or after the fifth anniversary of the first Distribution Date will, except as provided herein, be as follows: for any Distribution Date in the first year thereafter, the Senior Percentage plus 70% of the Subordinated Percentage for such Distribution Date; for any Distribution Date in the second year thereafter, the Senior Percentage plus 60% of the Subordinated Percentage for such Distribution Date; for any Distribution Date in the third year thereafter, the Senior Percentage plus 40% of the Subordinated Percentage for such Distribution Date; for any Distribution Date in the fourth year thereafter, the Senior Percentage plus 20% of the Subordinated Percentage for such Distribution Date; and for any Distribution Date thereafter, the Senior Percentage for such Distribution Date (unless on any Distribution Date the Senior Percentage exceeds the initial Senior Percentage, in which case the Senior Prepayment Percentage for such Distribution Date will once again equal 100%). Notwithstanding the foregoing, no decrease in the Senior Prepayment Percentage will occur unless both of the Senior Step Down Conditions are satisfied.

  • Asset Percentage has the meaning specified in Section 2.05(b)(ii).

  • Investment Percentage means a percentage established for each Partner on the Partnership's books as of the first day of each Fiscal Period. The Investment Percentage of a Partner for a Fiscal Period will be determined by dividing the balance of the Partner's Capital Account as of the commencement of the Fiscal Period by the sum of the Capital Accounts of all of the Partners as of the commencement of the Fiscal Period. The sum of the Investment Percentages of all Partners for each Fiscal Period will equal 100%.

  • Applicable Prepayment Percentage means, at any time, 75%; provided that, if at any time the Consolidated First Lien Net Leverage Ratio as of the last day of the fiscal year for which the Applicable Prepayment Percentage is calculated (as set forth in an officer’s certificate delivered pursuant to Section 9.01(e) for such fiscal year) is (i) less than or equal to 2.75:1.00 but greater than 2.25:1.00, the Applicable Prepayment Percentage shall instead be 50%, (ii) less than or equal to 2.25:1.00 but greater than 1.75:1.00, the Applicable Prepayment Percentage shall instead be 25% and (iii) less than or equal to 1.75:1.00, the Applicable Prepayment Percentage shall instead be 0%.

  • Subordinate Prepayment Percentage As to any Distribution Date and Loan Group, 100% minus the Senior Prepayment Percentage for such Loan Group for such Distribution Date.

  • Revolver Percentage means, for each Lender, the percentage of the Revolving Credit Commitments represented by such Lender’s Revolving Credit Commitment or, if the Revolving Credit Commitments have been terminated, the percentage held by such Lender (including through participation interests in Reimbursement Obligations) of the aggregate principal amount of all Revolving Loans and L/C Obligations then outstanding.

  • Note Percentage means (i) for each Payment Date until the aggregate principal amount of each Class of Notes has been paid in full, 100%; and (ii) thereafter, 0%.

  • Discount Percentage shall have the meaning specified in Section 2.11.

  • Shift Percentage As to any Distribution Date occurring during the five years beginning on the first Distribution Date, 0%. For any Distribution Date occurring on or after the fifth anniversary of the first Distribution Date as follows: for any Distribution Date in the first year thereafter, 30%; for any Distribution Date in the second year thereafter, 40%; for any Distribution Date in the third year thereafter, 60%; for any Distribution Date in the fourth year thereafter, 80%; and for any Distribution Date thereafter, 100%.

  • Credit Enhancement Percentage For any Distribution Date, the percentage equivalent of a fraction, the numerator of which is the sum of the aggregate Certificate Principal Balances of the Mezzanine Certificates and the Class CE Certificates, and the denominator of which is the aggregate Stated Principal Balance of the Mortgage Loans, calculated after taking into account distributions of principal on the Mortgage Loans and distribution of the Principal Distribution Amount to the Certificates then entitled to distributions of principal on such Distribution Date.

  • Commitment Percentage is set forth in Schedule 1.1, as amended from time to time.

  • Spread Account Percentage means, (i) 0% if the Quarterly Excess Spread Percentage on such Payment Date is greater than or equal to 5.00%, (ii) 2.00% if the Quarterly Excess Spread Percentage on such Payment Date is less than 5.00% and greater than or equal to 4.50%, (iii) 2.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 4.50% and greater than or equal to 4.00%, (iv) 3.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 4.00% and greater than or equal to 3.50%, (v) 4.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 3.50% and greater than or equal to 3.00%, (vi) 5.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 3.00% and greater than or equal to 2.50%, (vii) 6.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 2.50% and greater than or equal to 1.50%, (viii) 7.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 1.50% and greater than or equal to 0.50% and (ix) 8.50% if the Quarterly Excess Spread Percentage on such Payment Date is less than 0.50%.

  • Funding Percentage means with respect to any Payment Date, the percentage derived from the fraction the numerator of which is the Pre-Funded Amount and the denominator of which is the sum of the aggregate Principal Balance of Receivables transferred to the Trust and the Pre-Funded Amount, in each case, as of the last day of the related Collection Period.

  • Class C Reserve Account Percentage means, (i) zero, if the Quarterly Excess Available Funds Percentage on such Transfer Date is greater than or equal to 4.50%, (ii) 1.25%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 4.50% and greater than or equal to 4.00%, (iii) 2.00%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 4.00% and greater than or equal to 3.50%, (iv) 2.75%, if the Quarterly Excess Available Funds Percentage is less than 3.50% and greater than or equal to 3.00%, (v) 3.50%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 3.00% and greater than or equal to 2.50%, (vi) 4.50%, if the Quarterly Excess Available Funds Percentage is less than 2.50% and greater than or equal to 2.00%, and (vii) 6.00%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 2.00%.

  • Applicable Commitment Percentage means, with respect to each Lender at any time, a fraction, the numerator of which shall be such Lender's Revolving Credit Commitment and the denominator of which shall be the Total Revolving Credit Commitment, which Applicable Commitment Percentage for each Lender as of the Closing Date is as set forth in Exhibit A; provided that the Applicable Commitment Percentage of each Lender shall be increased or decreased to reflect any assignments to or by such Lender effected in accordance with Section 11.1.
