The Member shall indemnify, defend and hold harmless the LLC Indemnitees from and against and in respect of Damages suffered or incurred by any LLC Indemnitee by reason of or arising out of any acts or omissions constituting willful misconduct of the Member or its subcontractor.
If an Indemnifying Party has assumed the defense of a Third Party Claim under Subsection (b), the Indemnified Party shall, and shall cause each of its Novvi LLC Indemnitees or Amyris Indemnitees (as applicable), to reasonably cooperate with the Indemnifying Party, mitigate potential Losses, and furnish such records, information and testimony, provide such witnesses and attend such conferences, discovery proceedings, hearings, trials and appeals as may be reasonably requested in connection therewith.
Except with regard to the Novvi LLC Indemnitees and Amyris Indemnitees under Article 7 and Total with regard to Section 4.1, all rights, benefits, and remedies under this Licensee Agreement are solely intended for the benefit of the Parties and their respective permitted successors and assigns.
No Third Party (except Novvi LLC Indemnitees and Amyris Indemnitees with regard to their rights, benefits and remedies Article 7 and Total with regard to Section 4.1) shall have any rights whatsoever to enforce any obligation contained this License Agreement, seek a benefit or remedy for any breach, or take any other action relating to this License Agreement under any legal or equitable theory.
Such cooperation shall include access during normal business hours by the Indemnifying Party to, and reasonable retention by the Indemnified Party of, records and information that are reasonably relevant to such Third Party Claim and making the Indemnified Party and its Novvi LLC Indemnitees or Amyris Indemnitees (as applicable) available on a mutually convenient basis to provide additional information and explanation of any records or information provided.
In any event, should there be a failure or denial of insurance coverage, or a finding of gross negligence or wanton and willful conduct, or for any other reason, Intracoastal Marine, LLC Indemnitees shall have no liability to CUSTOMER, its agents, employees or representatives in an amount in excess of $250,000.
Under no circumstances shall a candidate in an upcoming election be a member of the Elections Committee.
This indemnification provision does not apply to intentional or reckless acts or gross negligence on the part of the iMarketplace LLC Indemnitees.
This Agreement and the other documents referred to herein, shall be binding upon SHC LLC and SHC Funding and inure solely to the benefit of the SHC Funding Indemnitees and the SHC LLC Indemnitees and their respective permitted assigns, and nothing in this Agreement, express or implied, is intended to confer upon any other person any rights or remedies of any nature whatsoever under or by reason of this Agreement.
