The amount of Tax chargeable on any Group Company during any accounting period ending on, or within the period since the date of its incorporation to, the Last Accounting Date has not, to any material extent, depended on any concession (other than published concessions of general application), agreement or other formal or informal arrangement with any Tax Authority.
No Group Company has received any notice from any Tax Authority which requires or will require it to withhold Tax from any payment made since the Last Accounting Date or which will or may be made after the date of this Agreement.
