IPLA Program Terms definition

IPLA Program Terms means this Agreement and applicable amendments and transaction documents and policies provided by Lenovo, including but not limited to any policies concerning backup, sub-capacity pricing, and migration. The rights and obligations set forth in this Section 11 remain in effect during the period the Program is licensed to Licensee, and for two years thereafter.
IPLA Program Terms means 1) this Agreement and applicable amendments and transaction documents provided by IBM, and 2) IBM software policies that may be found at the IBM Software Policy website (▇▇▇.▇▇▇.▇▇▇/▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇), including but not limited to those policies concerning backup, sub- capacity pricing, and migration. The rights and obligations set forth in this Section 11 remain in effect during the period the Program is licensed to Licensee, and for two years thereafter.

Examples of IPLA Program Terms in a sentence

  • Licensee is responsible for 1) ensuring that it does not exceed its Authorized Use, and 2) remaining in compliance with IPLA Program Terms.

  • Lenovo will notify Licensee in writing if any such verification indicates that Licensee has used any Program in excess of its Authorized Use or is otherwise not in compliance with the IPLA Program Terms.

  • Licensee agrees to create, retain (for a period of three years following the quarterly period to which the records relate), and provide to Lenovo and its auditors accurate written records, system tool outputs, and other system information sufficient to provide auditable verification that Licensee’s use of all Programs is in compliance with the IPLA Program Terms, including, without limitation, all of Lenovo’s applicable licensing and pricing qualification terms.

  • Licensee agrees to create, retain, and provide to IBM and its auditors accurate written records, system tool outputs, and other system information sufficient to provide auditable verification that Licensee's use of all Programs is in compliance with the IPLA Program Terms, including, without limitation, all of IBM's applicable licensing and pricing qualification terms.

  • Upon reasonable notice, IBM may verify Licensee's compliance with IPLA Program Terms at all sites and for all environments in which Licensee uses (for any purpose) Programs subject to IPLA Program Terms.

  • Upon reasonable notice, Lenovo may verify Licensee’s compliance with IPLA Program Terms at all sites and for all environments in which Licensee uses (for any purpose) Programs subject to IPLA Program Terms.

  • IBM will notify Licensee in writing if any such verification indicates that Licensee has used any Program in excess of its Authorized Use or is otherwise not in compliance with the IPLA Program Terms.

  • Licensee agrees to create, retain, and provide to IBM and its auditors accurate written records, system tool outputs, and other system information sufficient to provide auditable verification that Licensee’s use of all Programs is in compliance with the IPLA Program Terms, including, without limitation, all of IBM’s applicable licensing and pricing qualification terms.

Related to IPLA Program Terms

  • Collaborative pharmacy practice agreement means a written and signed

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Product Terms means the document that provides information about Products available under this Agreement. The Product Terms document is published on the Licensing Site and is updated from time to time.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).
