Inventions and Proprietary Information. Executive agrees to sign and be bound by the terms of the Proprietary Information and Inventions Agreement, which is attached as Exhibit B (“Proprietary Information Agreement”).

Inventions and Proprietary Information. Executive hereby acknowledges and agrees that he or she has executed the Executive Invention Assignment and Confidentiality Agreement, a copy of which is attached hereto as Exhibit A, and that such agreement remains in full force and effect.
Inventions and Proprietary Information. I represent to COMPANY that I am not a party to any other agreement that conflicts with this Agreement or which would restrict or prevent me from performing my duties as an employee of COMPANY. I agree that I will promptly disclose to and immediately assign and transfer to COMPANY in writing all my right, title, and interest in all inventions, works of authorship, improvement, designs, developments, and discoveries created by me individually or with others that relate in any manner to the present or prospective business or research of COMPANY.

Employee hereby acknowledges and agrees that he has executed the Employee Invention Assignment and Confidentiality Agreement, effective as of January 14, 2014, by and between Employee and the Company, a copy of which is attached hereto as Exhibit B, and that such agreement remains in full force and effect.
Inventions and Proprietary Information. Executive agrees to sign and be bound by the terms of the Non Disclosure And Invention Assignment Agreement, which is attached as Exhibit A (“Non Disclosure And Invention Assignment Agreement”).

In consideration of, and as a condition to, Executive’s employment with the Company, and as an essential inducement to the Company to enter into this Agreement, this Agreement is expressly subject to Executive’s executing (and complying with) the Company’s Proprietary Information and Inventions Agreement, which is attached as Exhibit C (“Proprietary Information Agreement”).
Inventions and Proprietary Information. NON-SOLICITATION AND NON-COMPETITION; PROHIBITION ON THIRD PARTY INFORMATION
Inventions and Proprietary Information. The Executive acknowledges that he remains bound by, and covenants to continue to comply with, the covenants set forth in Section 7 of the Employment Agreement in respect of inventions and non-disclosure agreements, which shall survive the termination of the Employment Agreement.
