Initial Threshold definition

Initial Threshold means, at any time, the sum of (i) $175,000,000 plus (ii) an amount equal to 50% of Consolidated Net Income (if positive) for each fiscal quarter of the Borrower commencing with the fiscal quarter ending September 30, 2002 plus (iii) an amount equal to 75% of net proceeds of any public equity offering by the Borrower or any Subsidiary after the date hereof.
Initial Threshold has the meaning set forth in Section 7.2(b).
Initial Threshold means that percentage of the Outstanding Voting Power equal to the percentage of the Company Voting Securities beneficially owned by the Investor as of the Closing (as defined in the Purchase Agreement), after giving effect to the transactions contemplated by the Purchase Agreement and the Merger Agreement (as defined in the Purchase Agreement).
