INCORA means the Borrower’s Instituto Colombiano de Reforma Agraria established by the Borrower’s Law No. 135 of December 13, 1961;

Other Terms Ad Hoc Group Advisor Fees and Expenses The fees and expenses incurred by the Ad Hoc Group in connection with the Transactions shall be paid by the Company. Definitive Documents The definitive documentation shall be consistent with this Term Sheet and otherwise mutually agreed between the Company and Majority Consenting Lenders. Indemnification The Company shall indemnify the Consenting Lenders for all claims related to or arising from the Transaction on terms acceptable to Majority Consenting Lenders. 9 NTD: Covenants TBD. 10 All accrued and unpaid interest on Existing Term Loans that are exchanged shall be paid in full in cash.
