In-House Software definition

In-House Software means computer programs or software which have been developed by the Contractor or any Contractor Party other than specifically for the purposes of the Works, the Intellectual Property Rights in which are owned by the Contractor or any Contractor Party and which are used by the Contractor or any Contractor Party for the purposes of the Works.

Examples of In-House Software in a sentence

  • Unless otherwise specified in an Order, Maintenance for In-House Software shall commence on the Order Effective Date and continue for the Term.

  • For In-House Software, Maintenance may be terminated separately from the applicable Licenses.

  • Vertafore warrants to Customer that (i) the material functions of the In-House Software licensed under an Order shall perform substantially as described in the Documentation for such In-House Software on the delivery date and for ninety (90) calendar days thereafter; (ii) the Online Services shall operate as described in the applicable Documentation for such Online Services; and (iii) the Professional Services shall be performed in a workmanlike manner.

  • The term “Vertafore Solutions” refers to the In-House Software, Online Services and Documentation licensed or received by Customer.

  • Vertafore warrants to Customer that (i) the material functions of the In- House Software licensed under an Order shall perform substantially as described in the Documentation for such In-House Software on the delivery date and for ninety (90) calendar days thereafter; (ii) the Online Services shall operate as described in the applicable Documentation for such Online Services; and (iii) the Professional Services shall be performed in a workmanlike manner.

  • If Customer terminates and then requests Vertafore to reinstate Maintenance for any In-House Software, Customer agrees that: (i) Vertafore may reinstate Maintenance at its sole discretion; and (ii) reinstatement of Maintenance will require Customer to pay Vertafore’s then and/or current Charges for Maintenance for the prior period of inactivity before reinstatement.

  • In-House Software is delivered by Vertafore in object code form by electronic download or on a physical medium, such as a compact disk, for loading on Customer’s client- computers and/or server-computers to be used by its Authorized Users.

  • In-House Software Software which is delivered to the Customer in object code form by electronic download or a physical medium and hosted on Customer’s systems.

  • There shall be no adjustment to the Purchase Price if Vendor is not able to transfer, assign or license any Third Party Technology, In-House Software, Process Technology or Hardware to Purchaser.

  • Maintenance is purchased independently for In-House Software and includes access to updates, upgrades, bug fixes and enhancements provided generally by Vertafore as well as applicable support services.

Related to In-House Software

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • System Software means machine-readable data and executable programs used to define the functionality of the HPS control system and standard hardware products, but does not include firmware, operating system, application software or other software products.
