Holdings Intercompany Note definition

Holdings Intercompany Note means the Promissory Note dated as of October 12, 2018 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time) issued by the Borrower in favor of Holdings.

  • Intercompany Loan Agreement has the meaning set forth in the Purchase and Sale Agreement.

  • Intercompany Loan shall have the meaning provided in Section 8.05(g).

  • Pledged Equity Interest means an Equity Interest that is included in the Collateral at such time.

  • Stock Pledge Agreements means one or more stock pledge agreements, in form and substance satisfactory to Agent, executed and delivered by Borrower and the Guarantors to Agent.

  • Proceeds Account Pledge Agreement means the pledge agreement entered into between the Issuer and the Agent on or prior to the First Issue Date in respect of a first priority pledge over the Proceeds Account and all funds held on the Proceeds Account from time to time, granted in favour of the Agent and the Bondholders (represented by the Agent).

  • Intercompany Subordination Agreement means a subordination agreement executed and delivered by Borrowers and Agent, the form and substance of which is satisfactory to Agent.
