A certification duly executed by each Seller in the form of Exhibit Z attached hereto and a California equivalent form, California Form 593‑C, duly executed by GSPE and EPLC.
SPE means any bankruptcy-remote, special-purpose entity created in connection with the financing of settlement float with respect to customer funds or otherwise.
Direct holdings means all publicly traded securities of a company that are held directly by the state treasurer or a retirement system in an actively managed account or fund in which the retirement system owns all shares or interests.
EXCO means EXCO Resources, Inc., a Texas corporation.
CSP means a Member or a Special Member, which action on behalf of itself or one or more other Members or non-Members, participates in the PJM Interchange Energy Market, Ancillary Services markets, and/or Reliability Pricing Model by causing a reduction in demand.
DGPC means Druk Green Power Corporation Limited including its successors and permitted assigns;
