Global Debt Securities Legend means the legend set forth in Section 2.06(f) hereof, which is required to be placed on all Global Debt Securities issued under this Indenture.
Global Securities Legend means the legend set forth under that caption in Exhibit A to this Indenture.
Securities Legend THIS CERTIFICATE HAS NOT BEEN AND WILL NOT BE REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE "SECURITIES ACT"), OR UNDER ANY STATE SECURITIES LAWS. Global Notes Legend means the legend set forth under that caption in the applicable Exhibit to this Indenture.
Global Security Legend means the legend set forth in Section 2.3(e)(3) of Appendix A to this Indenture, which is required to be placed on all Global Securities issued under this Indenture.
Restricted Securities Legend means the legend set forth in Section 2.3(e)(i) herein.
DTC Legend means the legend set forth in Exhibit D.
Regulation S Legend means the legend set forth in Section 2.06(g)(iii) which is required to be placed on all Regulation S Global Notes issued under this Supplemental Indenture.
Securities Act Legend means a Restricted Securities Legend or a Regulation S Legend.
Regulation S Global Security The meaning specified in Section 3.01(c).
Restricted Notes Legend means the legend set forth in Section 2.2(f)(i) herein.
Regulation S Global Securities Appendix A
Private Placement Legend means the legend set forth in Section 2.06(g)(i) hereof to be placed on all Notes issued under this Indenture, except where otherwise permitted by the provisions of this Indenture.
OID Legend means the legend set forth in Section 2.06(g)(3) hereof to be placed on all Notes issued under this Indenture that have more than a de minimis amount of original issue discount for U.S. Federal income tax purposes.
Global Note Legend means the legend set forth in Section 2.06(g)(ii), which is required to be placed on all Global Notes issued under this Indenture.
Regulation S Temporary Global Note Legend means the legend set forth in Section 2.06(g)(iii) hereof.
Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.
U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.
144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.
Regulation S Global Note means a Regulation S Temporary Global Note or Regulation S Permanent Global Note, as appropriate.
Registered Global Note means a Regulation S Global Note or a Rule 144A Global Note;
Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.04, and bearing the legend prescribed in Section 2.04.
Restricted Note Legend means a legend substantially in the form set forth in Exhibit B-1.
Global Security means a Security issued to evidence all or a part of any series of Securities which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary’s instruction, all in accordance with the Indenture, which shall be registered in the name of the Depositary or its nominee.
Rule 144A Global Security has the meaning specified in Section 2.1(a) of Appendix A.
Global Debenture shall have the meaning set forth in Section 2.4(a).
Restricted Legend means the legend set forth in Exhibit C.
