GCMG shall notify the Fund promptly of its annual determination with respect to the undertaking hereunder.

It is the intent of the parties hereto that GCMG be extended a right of first refusal to endeavor agreements of this type and nature in other parts of the United States and as such, the parties agree that before AMG enters into any such agreement with any other entity, it give notice to GCMG of such intent.
