The Work shall not be considered to be completed for the purposes of achieving Functional Completion until such operation and maintenance manuals have been submitted to the Owner’s Representative.
The Owner’s acknowledgement of the Acceptance of the Work from the CMR upon issuance of a Certificate of Acceptance by the Owner’s Representative and Architect or Engineer that all Work has been completed., with the exception of heating and cooling systems requiring Seasonal Testing, and Approved Deferred Functional Performance Testing, to Certify Functional Completion of those systems.
Functional Completion is when all remaining TAB (Testing, Adjusting, Balancing) and Commissioning responsibilities of the CMR and their subcontractors (except for Seasonal and/or Approved Deferred Functional Performance Testing and controls training), have been functionally certified as complete by the Owner’s Commissioning Authority (CxA) and the Certificate of Functional Completion has been issued.
Such acknowledgement shall not be deemed to be an acceptance by Owner of the Work or System, or limit or relieve the Contractor of its obligation to achieve Functional Completion of the entirety of the Work in accordance with Article 19, the Scope of Work or any other provision of this Contract.
In no event shall the Contractor make application for a Functional Completion Certificate until the Work has successfully passed or completed all applicable tests and inspections under the Inspection and Test Plan and any applicable Performance Tests.
All controls and instrumentation will function as designed at Functional Completion of plant.
The Contractor may apply by notice to the Owner’s Representative for a Functional Completion Certificate not earlier than 14 days before the Work or a System will, in the Contractor’s opinion, be complete and ready for taking over by the Owner.
Owner’s right to receive these liquidated damages shall be Owner’s exclusive remedy for any delay in achieving Functional Completion by the Scheduled Functional Completion Date (but not for any default by Contractor under the Contract arising from or related to such delay).
The Contractor may apply by notice to the Owner’s Representative for a Functional Completion Certificate not earlier than 3 days before the Work will, in the Contractor’s reasonable opinion, be complete and ready for taking over by the Owner.
The Operator shall use its reasonable efforts to carry out and complete the Project in accordance with the Project Schedule and in any event, shall take all reasonable steps to ensure that Functional Completion has been attained on or before the deadline for Functional Completion set forth in the Project Schedule.
