Foreign Subsidiary Pledge Documents definition

Foreign Subsidiary Pledge Documents means the Foreign Subsidiary Pledge Agreement and all other documents, instruments and agreements executed by or on behalf of any Loan Party to effect a pledge of Equity Interests in any Foreign Subsidiary to the Administrative Agent.
Foreign Subsidiary Pledge Documents means the U.S. Security Agreement, the WES Stock Pledge Documents and all other documents, instruments and agreements executed by or on behalf of any Loan Party to effect a pledge of Equity Interests in any Foreign Subsidiary to the Administrative Agent.

  • Each Pledgor shall promptly cause each Pledged Entity to execute and deliver to the Administrative Agent an acknowledgment and consent with respect to this Agreement substantially in the form of Exhibit B hereto, with such changes to reflect any Foreign Subsidiary Pledge Documents as may be acceptable to, or required by, the Administrative Agent.

  • Within five (5) Business Days after the Closing Date (or by such later date as the Administrative Agent may agree in its sole discretion), the Company shall deliver to the Administrative Agent certificates evidencing the collateral pledged under the Foreign Subsidiary Pledge Documents on the Closing Date, accompanied by stock or other appropriate transfer powers endorsed in blank.

  • Subsidiary Pledge Agreement means the pledge agreement, dated as of February 1, 2000, between the Subsidiary Guarantors and the Administrative Agent, as the same shall be modified and supplemented and in effect from time to time. The Subsidiary Pledge Agreement as in effect on the Effective Date is attached as Exhibit E hereto.
