For Agent s further security, each Grantor agrees that Agent shall have a special property interest in all of each Grantor's books and records pertaining to the Collateral and, upon the occurrence and during the continuation of any Event of Default, after the Senior Loans has been paid in full, each Grantor shall deliver and turn over any such books and records to Agent or to its representatives at any time on demand of Agent. Prior to the occurrence of an Event of Default and upon reasonable notice from Agent, each Grantor shall permit any representative of Agent to inspect such books and records and will provide photocopies thereof to Agent.

For Agent s obligations with respect to obtaining a confidentiality agreement set forth in the immediately preceding sentence, Borrower and each Loan Party agree that Agent and Lender shall have no liability whatsoever as a result of delivering any such information to any third party, and Borrower and the other Loan Parties, on behalf of themselves and their successors and assigns, hereby release and discharge Agent and Lender from any and all liability, claims, damages, or causes of action, arising out of, connected with or incidental to the delivery of any such information to any third party.
