For Agent s further security, each Borrower agrees that Agent shall have a security interest in all of such Borrower's books and records pertaining to the Collateral and, upon the occurrence and during the continuance of any Event of Default, such Borrower shall deliver and turn over any such books and records to Agent or to its representatives at any time on demand of Agent. Prior to the occurrence of a Default or Event of Default and upon notice from Agent, each Borrower shall permit any representative of Agent to inspect such books and records and shall provide photocopies thereof to Agent, for the benefit of Agent and Lenders, as more specifically set forth in this Agreement.
