Final Working Capital Adjustment definition

Final Working Capital Adjustment has the meaning set forth in Section 2.05(c).
Final Working Capital Adjustment or “FWCA” means the adjustment determined in accordance with paragraph 14.3 of Schedule 8.1A (Franchise Payment);

More Definitions of Final Working Capital Adjustment

Final Working Capital Adjustment shall have the meaning given to that term in paragraph 10.3 of schedule 8.A (Franchise Payments) to the Franchise Agreement as effected by the EMA and all definitions related to "Final Working Capital Adjustment" shall have the meanings given to them in schedule 8.A (Franchise Payments) to the Franchise Agreement as effected by the EMA);
Final Working Capital Adjustment means the amount, which may be positive or negative, equal to (i) if the Final Working Capital exceeds the Estimated Working Capital, the amount by which the Final Working Capital exceeds the Estimated Working Capital, which amount shall be expressed as a positive number, (ii) if the Final Working Capital is less than the Estimated Working Capital, the amount by which the Estimated Working Capital exceeds the Final Working Capital, which amount shall be expressed as a negative number, or (iii) if the Final Working Capital is equal to the Estimated Working Capital, zero.
Final Working Capital Adjustment means (i) if the SpinCo Working Capital as finally determined pursuant to Section 3.05 is within $3.0 million (plus or minus) of the SpinCo Target Working Capital, then zero (0), or (ii) if the SpinCo Working Capital as finally determined pursuant to Section 3.05 is at least $3.0 million more or less than the SpinCo Target Working Capital, then the SpinCo Working Capital minus the SpinCo Target Working Capital (which may be a positive or negative number).
Final Working Capital Adjustment shall be equal to Final Net Working Capital minus Reference Net Working Capital (it being understood that the Final Working Capital Adjustment may be either positive or negative).
