• FASL will notify AMD in advance of AMD’s placement of the applicable Purchase Orders of its stock rotation policies and agrees to provide AMD ****.

• Upon such request, FASL may agree to establish such a joint marketing campaign on terms to be agreed.

• FASL will not accept any order to purchase Products under this Agreement from any Entity or person other than AMD without AMD’s prior written consent.

• FASL will establish policies and procedures whereby FASL will honor long-term pricing commitments to AMD as agreed to by FASL.

• FASL shall cause all such amounts reimbursed by AMD to be paid to the appropriate Governmental Authorities as required by Applicable Law.
