No Lender shall have any obligation to agree to have any of its Existing Term Loans of any Existing Term Tranche amended into Extended Term Loans, pursuant to any Extension Request.
The applicable Borrower or Borrowers shall provide the applicable Extension Request at least five (5) Business Days (or such shorter period of time as the Administrative Agent may agree in its reasonable discretion) prior to the date on which Lenders under the Existing Term Tranche are requested to respond, and shall agree to such procedures, if any, as may be established by, or acceptable to, the Administrative Agent, in each case acting reasonably to accomplish the purposes of this Section 2.23.
In the event that the aggregate principal amount of Revolving Commitments subject to Extension Elections exceeds the amount of Extended Revolving Commitments requested to be extended pursuant to the Extension Request, the Revolving Commitments subject to Extension Elections shall be converted or exchanged as directed by the Borrower.
The Administrative Agent shall promptly advise the Lenders and the Issuers of any Extension Request given pursuant to this Section 2.21.
No Lender shall have any obligation to agree to have any of its Revolving Commitments of any Existing Revolving Class converted into Extended Revolving Commitments pursuant to any Extension Request.
