Exchange Rate Fluctuation means all possible changes in the values of currencies quoted in the Tender relative to each other, arising as a result of market forces, formal devaluation or revaluation of those currencies or from any cause howsoever arising;

If, and only if, the Exchange Rate Fluctuation for any given sales in any given Exchange Rate Period exceeds three percent (3%) in any given direction, any decrease from the Benchmark for any given sale during the Exchange Rate Period, and resulting benefit to DISTRIBUTOR, shall be shared equally among the Parties.
