Consequently no key information document required by the PRIIPs Regulation as it forms part of domestic law by virtue of the EUWA (as amended, the “UK PRIIPs Regulation”) for offering or selling the Notes or otherwise making them available to retail investors in the UK has been prepared and therefore offering or selling the Notes or otherwise making them available to any retail investor in the UK may be unlawful under the UK PRIIPs Regulation.
It is acknowledged and agreed that the warranty and agreement given in this Section 22 is only sought and given to the extent that to do so would not violate (i) Regulation (EC) No 2271/96 (including as it forms part of UK domestic law by virtue of the EUWA); and/or (ii) any associated and applicable national law, instrument or regulation in the European Union or the United Kingdom related thereto.
