  • Upon consummation of the Exchange as herein contemplated and satisfaction of all other terms and conditions hereof, the shares of Equifax Common Stock to be issued to the Stockholders pursuant hereto will be duly authorized, validly issued and outstanding, fully paid and nonassessable.
