  • To the extent the EnerVest Parties (or their affiliates) do not agree to continue to provide such Employee Services/Benefits after the Effective Date, on the Effective Date the Reorganized Debtors shall hire a third-party benefits provider, which provider will administer new compensation and benefits plans, in each case acceptable to the Debtors and the Required Consenting Noteholders.

  • To the extent the EnerVest Parties (or any of their affiliates) agree to continue to provide such Employee Services/Benefits after the Effective Date, on or prior to the Effective Date, the Reorganized Debtors and the EnerVest Parties (or their affiliates) shall enter into a services agreement with respect thereto, which agreement shall be in form and substance mutually acceptable to the Debtors, the Required Consenting Noteholders and the EnerVest Parties.

  • The Debtors, the Required Consenting Noteholders and the EnerVest Parties shall negotiate in good faith regarding whether the EnerVest Parties (or any of their affiliates) will continue to provide, after the Effective Date, payroll processing, employee benefits and other related services substantially similar to those in effect on the date hereof (collectively, the “Employee Services/Benefits”) to or for the benefit of employees of the Reorganized Debtors.

Related to EnerVest Parties

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Environmental Management System means an environmental management system or plan of management to address all environmental risks and to ensure compliance with all Environmental Laws and licences;

  • Parent Related Parties means, collectively, (i) Parent or Merger Sub; and (ii) the former, current and future holders of any equity, controlling persons, Representatives, Affiliates (other than Parent or Merger Sub), members, managers, general or limited partners, stockholders and assignees of each of Parent and Merger Sub.

  • Third-party logistics provider means a person that provides or coordinates warehousing of or other logistics services for a drug or device in interstate commerce on behalf of a manufacturer, wholesale distributor, or dispenser of the drug or device but does not take ownership of the product or have responsibility for directing the sale or disposition of the product.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Transaction Parties As defined in Section 5.3(o).

  • Environmental Management Plan or “EMP” means the environmental management plan for the Project, including any update thereto, incorporated in the IEE;

  • Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.

  • Environmental Management Framework or “EMF” means the framework adopted by the Recipient through its Ministry of Planning and Investment’s Decision No 116/QD-BKH dated January 22, 2010 and referred to in the paragraph 2 of Section I.C of Schedule 2 to this Agreement, which sets out the environmental protection measures in respect of the Project, as well as administrative and monitoring arrangements to ensue the implementation of said framework, as said Environmental Management Framework may be revised from time to time with the prior concurrence of the Association.

  • Parties has the meaning set forth in the Preamble.

  • Applicable Parties has the meaning assigned to it in Section 8.03(c).

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • Exculpated Parties shall have the meaning set forth in Section 13.1 hereof.
