DTHC has the right, power and authority to execute and deliver this Agreement and the DTHC Closing Documents to which it is a party and to perform its obligations under this Agreement and the DTHC Closing Documents, and such action has been duly authorized by all necessary action.
Seller’s Closing Documents as defined in Section 3.2(a).
Closing Documents means the papers, instruments and documents required to be executed and delivered at the Closing pursuant to this Agreement;
Debt Financing Documents means any credit agreements, note purchase agreements, indentures, guarantees, pledge and security documents, definitive financing documents, agreements, schedules or other certificates or documents contemplated by the Debt Financing.
Bidding Documents means all documents provided to the interested bidders to facilitate them in preparation of their bids in uniform manner;
Purchaser Documents has the meaning set forth in Section 6.2.
