Examples of D.R. Employees in a sentence
All salary, bonus, benefits, severance and other compensation, payments or other obligations accrued or due to any DR Employees and any other employees of General Magic as of the Closing Date, whether or not they are offered or accept employment with the Company as of the Closing Date, shall be the exclusive responsibility of General Magic; and General Magic shall indemnify, and hold the Company harmless against, any and all such obligations.
There are no additional bonuses or other benefits payable to the DR Employees other than those listed on Schedule 4.17.
The non-competition agreements in the form attached hereto as Exhibit I between Buyer and each of the D.R. Employees (the “D.R. Non-Competition Agreements”), duly executed by each of the D.R. Employees.
To the Knowledge of Seller, there is no union activity or threat of unionization for the DR Employees.
Following delivery of the Wind Down Notice, Buyer may solicit the DR Employees for employment, provided, however, that (absent Seller's written consent, which shall not be withheld unreasonably) no DR Employees shall commence employment with the Buyer or its Affiliates until the later to occur of the Closing Date or the Second Closing Date (if applicable).
As of the Closing Date, the Company will offer employment to each employee of General Magic set forth on Schedule 5.6 (the "DR Employees") by delivering to each of the DR Employees an offer of employment substantially in the form attached hereto as Exhibit E.
Seller and its Affiliates will provide reasonable assistance in the transition of those DR Employees that accept employment with Buyer pursuant to this Section 6.11 .
Not later then ten (10) days prior to the Closing Date, Buyer shall notify Seller in writing of the names of the DR Employees which Buyer will hire as of the Closing Date (the "Chosen DR Employees").
The names, positions, salaries, bonuses, benefits and years of longevity, respectively, of those people (the "DR Employees") employed by Seller in the Power Business, as listed in Schedule 4.17 as amended and restated at the Closing Date, are true and correct.
Notwithstanding the foregoing, Buyer shall not be obligated to offer to employ any DR Employees or any other Person, and Seller Parties shall indemnify Buyer for any liability Buyer may incur as a result of Law of a Governmental Entity or labor organization, which requires otherwise.
