Determination Periods definition

Determination Periods means the calendar month, the six calendar month period and the twelve calendar month period immediately preceding the TAPOS Determination Date.

Notwithstanding the fact that the two fiscal quarters ended June 30, 2000, the two fiscal quarters ended September 30, 2000, the two fiscal quarters ended June 30, 2001, the two consecutive fiscal quarters ended September 30, 2001 and the two consecutive fiscal quarters ended December 31, 2001 do not constitute Determination Periods, (i) the quarter ended September 30, 2000 shall be included in the Company's EBITDA Ratio for the Determination Period ended December 31, 2000, (ii) the quarter ended September 30, 2001 shall be included in the Company's EBITDA Ratio for the Determination Period ended December 31, 2001, (iii) the quarter ended December 31, 2001 shall be included in the Company's EBITDA Ratio for the Determination Period ended March 31, 2002, (iv) each of the quarters ended June 30, 2000, September 30, 2000, June 30, 2001, September 30,2001 and December 31, 2001 shall be a fiscal quarter for purposes of Section 2.2e of this Agreement, and (iv) the Company shall be required to furnish to Purchaser the report described in Section 2.2f of this Agreement for the two consecutive fiscal quarters ended June 30, 2000, the two consecutive fiscal quarters ended September 30, 2000, the two consecutive fiscal quarters ended June 30, 2001, the two consecutive fiscal quarters ended September 30, 2001 and the two consecutive fiscal quarters ended December 31, 2001.

Related to Determination Periods

  • Determination Period means the period from and including a Determination Date in any year to but excluding the next Determination Date; and

  • Determination Year means the Plan Year for which testing is being performed, and the “look-back year” means the immediately preceding twelve (12) month period.

  • Claim Determination Period means a calendar year. However, it does not include any part of a year during which a person has no coverage under This Plan, or any part of a year before the date this COB provision or a similar provision takes effect.

  • Valuation Period shall have the meaning specified in Section 14.04(c).

  • Determination Date With respect to any Distribution Date, the 15th day of the month of such Distribution Date or, if such 15th day is not a Business Day, the immediately preceding Business Day.

  • Three-Year Period means, with respect to a Restatement, the three completed fiscal years immediately preceding the date that the Board, a committee of the Board, or the officer or officers of the Company authorized to take such action if Board action is not required, concludes, or reasonably should have concluded, that the Company is required to prepare such Restatement, or, if earlier, the date on which a court, regulator or other legally authorized body directs the Company to prepare such Restatement. The “Three-Year Period” also includes any transition period (that results from a change in the Company’s fiscal year) within or immediately following the three completed fiscal years identified in the preceding sentence. However, a transition period between the last day of the Company’s previous fiscal year end and the first day of its new fiscal year that comprises a period of nine to 12 months shall be deemed a completed fiscal year.

  • Index Determination Date means, in relation to any Index, a date on which such Indexfalls to be determined in accordance with the Conditions;

  • Interest Calculation Period means the period or periods for the calculation of the interest shown on the mortgage form;

  • Accumulation Period Amount means $41,666,666.67; provided, however, if the Accumulation Period Length is determined to be less than twelve (12) months pursuant to Section 3.10(b)(ii) of the Indenture Supplement, the Accumulation Period Amount shall be the amount specified in the definition of “Accumulation Period Amount” in the Indenture Supplement.

  • Accumulation Period Factor means, for any Collection Period, a fraction with:

  • Calculation Period means the period from and including the seventh scheduled Index Business Day prior to the Stated Maturity to and including the second scheduled Index Business Day prior to the Stated Maturity.

  • Distribution Determination Date means, in respect of any Distribution Period, that number of business days prior thereto as is set out in the applicable Pricing Supplement or on the face of the relevant Perpetual Security;

  • LIBOR Determination Date With respect to any Interest Accrual Period for the LIBOR Certificates, the second London Business Day preceding the commencement of such Interest Accrual Period.

  • SOFR Determination Date has the meaning specified in the definition of “Daily Simple SOFR”.

  • Computation Period means each period of four consecutive Fiscal Quarters ending on the last day of a Fiscal Quarter.

  • Allocation Period means (a) the period commencing on February 10, 2016 and ending on December 31, 2016, (b) any subsequent period commencing on January 1 and ending on the following December 31, or (c) any portion of the period described in clause (a) or (b) for which the Partnership is required to allocate Net Profits, Net Losses, and other items of Partnership income, gain, loss or deduction pursuant to ARTICLE IV.

  • Election Period shall have the meaning set forth in Section 14.3(a).

  • Evaluation Period bears the meaning ascribed thereto in Section 13.5(d)(i);

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Reconciliation Period is each calendar month.

  • Eligibility Determination means an approval or denial of eligibility and a renewal or termination of eligibility as set forth in OAR 410-200-0015;¶

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Nomination Period means a period of time that Customer includes in a nomination for gas service.

  • Subsequent Rate Period means, with respect to any Series of VMTP Shares, the period consisting of seven calendar days, but adjusted in each case to reflect any changes when the regular calendar day that is a Rate Determination Date is not a Business Day, from, and including, the first calendar day following the Initial Rate Period of such Series to, and including, the next Rate Determination Date for such Series and any period thereafter from, and including, the first calendar day following a Rate Determination Date for shares of such Series to, and including, the next succeeding Rate Determination Date for shares of such Series.

  • Compensation Period has the meaning specified in Section 2.12(c)(ii).

  • Extension Determination Date means, in respect of a Series of Covered Bonds, the date falling two Business Days after the expiry of seven days from (and including) the Final Maturity Date of such Covered Bonds.
